The Recipient Party shall implement and maintain reasonable safeguards to prevent unauthorized use or disclosure.

6.2 If the Recipient Party is required by law to disclose any information subject to this Notice, the Recipient Party shall, to the extent permitted by law, provide prompt notice to the Consenting Party to allow the Consenting Party to seek protective relief or other appropriate remedies.

7. LIABILITY; INDEMNIFICATION

7.1 Each Party shall be responsible for its own acts and omissions. The Recipient Party agrees to indemnify, defend and hold harmless the Consenting Party from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising from the Recipient Party’s breach of this Notice or misuse of the Consent Description, except to the extent such claims result from the Consenting Party’s own breach or willful misconduct.

8. NOTICES

8.1 All notices, requests, consents and other communications required or permitted under this Notice shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or delivered by nationally recognized courier service to the addresses set forth at the beginning of this Notice or to such other address as each Party may designate by written notice.

9. AMENDMENTS; WAIVER

9.1 This Notice may be amended only by a written instrument signed by both Parties. No waiver of any provision of this Notice shall be effective unless in writing and signed by the Party against whom enforcement is sought; a waiver of any breach shall not constitute a waiver of any other or subsequent breach.

10. GOVERNING LAW

10.1 This Notice shall be governed by and construed in accordance with the laws of the jurisdiction indicated below. The Parties submit to the exclusive venue and jurisdiction of the courts located in that jurisdiction for any action arising out of or relating to this Notice.

11. ENTIRE AGREEMENT

12. SEVERABILITY

12.1 If any provision of this Notice is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and the invalid, illegal or unenforceable provision shall be reformed only to the extent necessary to make it valid and enforceable.

13. COUNTERPARTS

13.1 This Notice may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be deemed originals for all purposes.
