LEGAL CONSENT PACKET

This Legal Consent Packet (the "Agreement") is made effective as of Effective Date: by and between Consent Giver Name: ("Consent Giver") and Consent Recipient Name: ("Recipient").

RECITALS

WHEREAS, Consent Giver possesses certain personal information, materials and rights and desires to grant specific conditional consents to Recipient under the terms set forth herein; and

WHEREAS, Recipient requires documented authorization from Consent Giver to use, disclose, process, or otherwise handle such information or materials for the purposes described below; and

WHEREAS, the parties intend that this Agreement memorialize all consents, limitations, and procedures governing such authorizations.

NOW THEREFORE, in consideration of the mutual covenants and promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following definitions apply:

"Consent Materials" means all documents, records, personal data, images, recordings, samples, and information provided by or collected from Consent Giver pursuant to this Agreement.

"Authorized Use" means the specific, limited purposes described in Section 2 and any attachments executed by the parties.

2. GRANT OF CONSENT

Consent Giver hereby expressly grants Recipient the following consents, each subject to the limitations and conditions set forth in this Agreement. Consent Giver acknowledges that each checked item is a separate and independent consent.

Consent to disclose Consent Materials to third parties for the Authorized Use identified in this Agreement.

Consent to collect, store, and process electronic or physical Consent Materials as reasonably necessary to accomplish Authorized Use.

Consent to use photographs, video, or audio recordings of Consent Giver in connection with the Authorized Use subject to the restrictions in Section 7.

Consent to conduct background checks or verification procedures where necessary for the Authorized Use and permitted by law.

Consent to any limited medical treatment or first aid reasonably necessary in the course of activities related to the Authorized Use, provided that no invasive treatment will be performed without separate written authorization.

3. PURPOSE AND SCOPE

The Authorized Use for which the consents are provided is described as follows:

Recipient shall use Consent Materials only to the extent reasonably necessary to accomplish the Authorized Use and shall not use Consent Materials for any unrelated purpose absent additional written consent.

4. DURATION, REVOCATION AND RETURN

Unless otherwise stated below, this consent is effective as of the Effective Date and shall continue in effect until the earlier of (a) completion of the Authorized Use, (b) written revocation by Consent Giver in accordance with Section 10, or (c) the maximum period permitted by applicable law.

Revocation by Consent Giver must be delivered in writing to Recipient at the address set forth in Section 10 and will be effective upon Recipient's receipt. Revocation shall not affect actions taken by Recipient in reasonable reliance on previously granted consent prior to receipt of revocation.

5. REPRESENTATIONS AND WARRANTIES

Consent Giver represents and warrants that (a) Consent Giver is the lawful owner of the rights granted herein or is otherwise authorized to grant the consents set forth in this Agreement; (b) the consents granted do not violate any agreement with third parties or any applicable law; and (c) all information provided to Recipient is true and correct to the best of Consent Giver's knowledge.

Recipient represents and warrants that it will comply with all applicable laws and will maintain appropriate safeguards to protect Consent Materials against unauthorized access, disclosure, alteration, or destruction.

6. CONFIDENTIALITY

Except as expressly authorized herein or required by law, Recipient shall treat Consent Materials as confidential and shall not disclose such materials to any third party without Consent Giver's prior written consent. Recipient may disclose Consent Materials to its employees, agents, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those contained in this Agreement.

7. INDEMNIFICATION

Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party, its officers, directors, employees and agents (the "Indemnified Parties") from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from a breach of the Indemnifying Party's representations, warranties, or obligations under this Agreement or from the Indemnifying Party's negligent or willful misconduct.

8. LIMITATION OF LIABILITY

Except for liability arising from willful misconduct, gross negligence, or breach of confidentiality obligations, neither party shall be liable to the other for special, incidental, consequential, or punitive damages, and each party's aggregate liability shall be limited to direct damages not to exceed the lesser of actual documented damages or the amount of fees paid by Recipient to Consent Giver in connection with the Authorized Use (if any).

9. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement must be in writing and delivered to the addresses below or to such other address as a party may specify by written notice.

10. MISCELLANEOUS

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified here:

Entire Agreement: This Agreement, together with any attachments or schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, oral or written.

Amendments: Any amendment or modification to this Agreement must be in writing and signed by both parties.

Waiver: The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that or any other provision.

Severability: If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. A signed electronic copy or facsimile of this Agreement shall be binding as an original.

CERTIFICATION AND ACKNOWLEDGMENT

By signing below, Consent Giver certifies that they have read and understood this Agreement, that they are at least eighteen (18) years of age or otherwise have the legal capacity to provide the consents set forth herein, and that they voluntarily grant the consents selected above. Each party acknowledges that it has the authority to bind itself to this Agreement.
