3. SCOPE AND LIMITATIONS

5. REPRESENTATIONS AND WARRANTIES

5.1 Consenting Party represents and warrants that it has the full right and authority to grant the Consent described herein, and that the grant will not violate any contractual or legal obligation to third parties.

5.2 Recipient represents and warrants that (a) it will use the Subject only as permitted by this Record; (b) it will restrict access to Authorized Personnel; and (c) it will maintain records of disclosures and uses sufficient to demonstrate compliance with this Record.

6. CONFIDENTIALITY; DATA PROTECTION

6.1 Recipient shall protect the Subject using administrative, technical and physical safeguards appropriate to the sensitivity of the Subject and sufficient to prevent unauthorized access, use or disclosure.

6.2 In the event of any unauthorized access, use or disclosure of the Subject, Recipient shall notify Consenting Party promptly and shall cooperate in mitigating the effects of such event.

7. INDEMNIFICATION

Recipient shall indemnify, defend and hold harmless Consenting Party from and against any and all losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable attorneys' fees) arising from Recipient's breach of this Record or from Recipient's negligent or willful acts or omissions in relation to the use or disclosure of the Subject.

8. LIMITATION OF LIABILITY

EXCEPT FOR BREACHES OF CONFIDENTIALITY OR INDEMNIFICATION OBLIGATIONS OR LIABILITY ARISING FROM WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES ARISING OUT OF THIS RECORD.

9. COMPLIANCE WITH LAWS

Each party shall comply with all applicable laws, rules and regulations in the performance of its obligations under this Record, including those governing privacy, data protection and the handling of sensitive information.

10. NOTICES

All notices required or permitted under this Record shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice in accordance with this Section.

11. AMENDMENT; WAIVER; COUNTERPARTS
