LEGAL CONSENT RELEASE

This Legal Consent Release (the "Release") is entered into as of by and between Releasor Name: , Releasor Address: , and Releasee Name: , Releasee Address: .

RECITALS

WHEREAS, Releasor possesses certain rights, interests, personal information, likeness, or other rights described below that Releasor may permit Releasee to use, disclose, or otherwise exploit; and

WHEREAS, Releasee seeks Releasor's express consent to use such rights for the purposes and scope described in this Release, and Releasor is willing to grant consent and provide a release of claims in exchange for the consideration and undertakings set forth herein; and

WHEREAS, the parties intend by this Release to set forth the complete agreement governing the consent and release between them.

NOW, THEREFORE, in consideration of the mutual promises and other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Release, the following definitions apply: "Consent Subject" means the particular rights, likeness, information, or property described in the Consent Description field below. "Claims" means any and all claims, causes of action, demands, liabilities, losses, costs, and expenses, including attorneys' fees and costs, whether known or unknown, suspected or unsuspected.

2. GRANT OF CONSENT

Releasor hereby irrevocably and unconditionally grants to Releasee, its affiliates, licensees, successors and assigns, the right to use, reproduce, distribute, publish, perform, display, modify, create derivative works of, and otherwise exploit the Consent Subject throughout the world and in any media now known or hereafter devised, for the purposes described in the Consent Purpose field below and for any related business purposes.

3. RELEASE OF CLAIMS

In consideration of the grant set forth in Section 2 and other good and valuable consideration, Releasor hereby fully and forever releases and discharges Releasee and its officers, directors, employees, agents, successors and assigns from any and all Claims arising out of or relating to the Consent Subject or Releasee's exercise of the rights granted herein, whether based on contract, tort, statute, intellectual property, privacy, publicity, or any other legal theory, including but not limited to claims for invasion of privacy, defamation, misappropriation, or violation of any right of publicity.

4. REPRESENTATIONS AND WARRANTIES

Releasor represents and warrants that Releasor is of legal age and capacity to grant the rights and releases herein, that Releasor has the full right, power and authority to enter into this Release, and that the Consent Subject does not infringe the rights of any third party. Releasor further represents that no other person or entity holds rights that would prevent the grant and release set forth herein.

5. CONSIDERATION

As full consideration for the rights granted and releases given by Releasor, Releasee shall provide the consideration described below. The parties acknowledge that such consideration constitutes fair and sufficient consideration.

6. INDEMNIFICATION

Releasor shall indemnify, defend and hold harmless Releasee from and against any and all Claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of any breach of Releasor's representations, warranties, or obligations under this Release or any unauthorized assertions by third parties of rights in the Consent Subject.

7. TERM AND TERMINATION

The grant of consent and release in this Release shall commence on the Effective Date and shall continue for the period specified below or, if no period is specified, perpetually. Termination shall not revive any Claims released herein.

8. CONFIDENTIALITY AND SENSITIVE INFORMATION

If the Consent Subject includes personal data, medical information, or other sensitive information, Releasee shall use such information only as expressly permitted by this Release and shall employ commercially reasonable safeguards to protect confidentiality, except as otherwise authorized by Releasor in writing below.

9. MISCELLANEOUS

9.1 Notices. All notices required or permitted under this Release shall be in writing and delivered to the address for each party set forth above or to such other address as a party designates by written notice to the other. 9.2 Amendments. This Release may be amended only by a written instrument executed by both parties. 9.3 Waiver. No waiver of any provision shall be effective unless in writing signed by the party waiving compliance. 9.4 Counterparts. This Release may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. 9.5 Electronic Signatures. Signatures delivered electronically, by facsimile, or by electronic transmission shall be effective as originals.

10. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Release shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. If any provision of this Release is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Release contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written.

11. ADDITIONAL COVENANTS

Releasor covenants that Releasor will not knowingly institute, join, or assist in any Claim against Releasee that relates to the Consent Subject. If Releasor obtains rights from any third party that relate to the Consent Subject, Releasor shall promptly notify Releasee and cooperate in obtaining any further releases or consents reasonably required by Releasee.

12. NOTICES

Notices shall be sent to the parties at the addresses listed below or to such other address as a party may designate by notice in accordance with this Section.
