LEGAL CONSENT & RELEASE FORM

This Legal Consent & Release Form (the "Agreement") is entered into as of by and between Releasor Name: (the "Releasor") and Releasee Name: (the "Releasee").

RECITALS

WHEREAS, Releasor possesses certain rights in and to Releasor's name, image, likeness, voice, biographical information, statements and other personal attributes (collectively, the "Likeness"); and

WHEREAS, Releasee desires the right to use the Likeness, and Releasor is willing to grant such right subject to the terms and conditions set forth herein; and

WHEREAS, the parties intend by this Agreement to resolve and fully release any and all claims, demands, causes of action and liabilities relating to the matters described herein.

NOW, THEREFORE, in consideration of the mutual covenants and other good and valuable consideration, the receipt and sufficiency of which the parties acknowledge, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below:

"Released Claims" means any and all claims, demands, causes of action, liabilities, obligations, damages, costs and expenses (including attorneys' fees) known or unknown, suspected or unsuspected, that Releasor may have arising out of or related to the Likeness or the Uses (as defined below), whether arising under statute, contract, tort or otherwise.

"Materials" means photographs, video, audio recordings, digital files, text, and other content in which the Likeness appears or is embodied.

2. GRANT OF CONSENT

Releasor hereby irrevocably grants to Releasee and its successors, assigns and licensees the perpetual, worldwide, royalty-free right and license to record, reproduce, publish, distribute, exhibit, transmit, adapt and otherwise use the Likeness and Materials for any lawful purpose, including but not limited to advertising, promotion, marketing, publicity, editorial, educational, archival and commercial uses (collectively, the "Uses").

3. RELEASE AND WAIVER

Releasor, for Releasor and Releasor's heirs, executors, administrators, legal representatives, successors and assigns, hereby releases, waives, discharges and covenants not to sue Releasee and Releasee's officers, directors, employees, agents, affiliates, licensees, successors and assigns (collectively, the "Released Parties") from and with respect to any and all Released Claims. This release includes, without limitation, claims for invasion of privacy, defamation, right of publicity, emotional distress and any other cause of action arising from the Use of the Likeness or Materials.

4. CONSIDERATION

The parties acknowledge that the consideration set forth above constitutes good and valuable consideration sufficient to support this Agreement and is not nominal.

5. REPRESENTATIONS AND WARRANTIES

Releasor represents and warrants that Releasor is of legal age and capacity to enter into this Agreement, that Releasor has the full right, power and authority to grant the rights and releases granted herein, and that the grant of rights and execution of this Agreement will not violate any agreement, obligation or right of any third party.

Releasee represents and warrants that it will use the Materials and Likeness in a manner consistent with applicable law and this Agreement.

6. INDEMNIFICATION

Releasor shall indemnify, defend and hold harmless the Released Parties from and against any and all claims, demands, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of any breach of Releasor's representations, warranties or covenants contained in this Agreement or arising from any claim by a third party relating to the Likeness or Materials provided by Releasor.

7. CONFIDENTIALITY

Except as required by law or for the Uses authorized herein, Releasee shall not disclose personal information provided by Releasor to unrelated third parties without Releasor's prior written consent. Nothing in this Agreement shall be construed to prevent Releasee from using or disclosing Materials or Likeness consistent with the rights granted in Section 2.

8. TERM

The rights granted to Releasee under this Agreement are perpetual and worldwide, unless otherwise expressly provided in a written amendment signed by both parties.

9. NOTICES

All notices, requests and other communications under this Agreement shall be in writing and delivered to the addresses set forth below (or such other address as a party may designate in writing):

10. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a writing signed by both parties. No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party waiving compliance. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

11. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the state indicated below without regard to conflict of laws principles. The parties submit to exclusive jurisdiction and venue in the state and federal courts located in that state for any dispute arising out of or related to this Agreement.

12. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. If any provision of this Agreement is held to be invalid, illegal or unenforceable, such provision shall be enforced to the fullest extent permitted by law and the remaining provisions shall remain in full force and effect.

ACKNOWLEDGMENT

Releasor acknowledges that Releasor has read this Agreement in its entirety, understands its terms, and signs it voluntarily. Releasor further acknowledges that Releasor has had the opportunity to consult with independent legal counsel prior to signing.
