NOW, THEREFORE, in consideration of the mutual covenants set forth below and other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the parties agree as follows:

For purposes of this Agreement: (a) "Consent" means the express, written authorization granted by Consenting Party to Requesting Party as set forth in Section 2; (b) "Scope of Consent" means the specific activities, disclosures, time period and limitations described in Section 2; and (c) "Confidential Information" means information designated as confidential or which by its nature should reasonably be considered confidential.

2. CONSENT GRANT

Consenting Party hereby grants Consent to Requesting Party, subject to the terms and limitations in this Agreement, to:

Unless earlier revoked in writing in accordance with Section 5, the Consent shall commence on the Effective Date and continue until the earlier of the expiration date specified in the Scope of Consent or termination by mutual written agreement. Consenting Party may revoke consent for material breach by Requesting Party after providing written notice and a thirty (30) day opportunity to cure.

5. LIMITATIONS AND CONDITIONS

Requesting Party shall use the Consent only for the purposes expressly stated in this Agreement. Requesting Party shall comply with all applicable laws and shall not transfer, sublicense, or assign rights granted under this Consent without prior written approval of Consenting Party.

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Consenting Party represents that it has the right to grant the Consent described herein and that doing so does not violate any material agreement or law.

7. CONFIDENTIALITY

All Confidential Information disclosed by Consenting Party in connection with this Consent shall remain the property of Consenting Party and shall be used solely for the Scope of Consent. Requesting Party shall protect such information with at least the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable degree of care.

8. INDEMNIFICATION

Requesting Party shall defend, indemnify and hold harmless Consenting Party from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Requesting Party's use of the Consent or breach of this Agreement, except to the extent caused by Consenting Party's gross negligence or willful misconduct.

9. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses provided below by hand, certified mail, or nationally recognized overnight courier, and shall be effective upon receipt.

10. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in a writing signed by authorized representatives of both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

11. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for the resolution of disputes arising under this Agreement.

12. ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS

This Agreement constitutes the entire agreement between the parties with respect to the Consent and supersedes all prior and contemporaneous agreements, representations and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

ADDITIONAL PROVISIONS

The parties further agree that any breach of confidentiality or unauthorized use of the Consent that causes irreparable harm shall entitle the non-breaching party to seek injunctive relief in addition to any other remedies available at law or in equity.
