RECITALS

2. AUTHORIZATION AND USE

Provider Name shall limit such use and disclosure to the minimum amount reasonably necessary to accomplish the authorized purpose and shall adopt reasonable administrative, technical and physical safeguards to protect the confidentiality of any information disclosed under this Consent Signature Page.

3. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has full power and authority to enter into and perform its obligations under this Signature Page; (b) the individual executing this Signature Page on behalf of a party is duly authorized to bind that party; and (c) the execution and performance of this Signature Page will not violate any agreement, law, or order binding on such party.

4. TERM; TERMINATION

This Consent Signature Page shall commence on the Effective Date and shall remain in effect until the earlier of: (a) the expiration specified in the Consent Instrument; (b) written revocation delivered by Client Name to Provider Name in accordance with the Notices provision; or (c) termination by mutual written agreement of the parties. Revocation shall not affect disclosures made in reliance on the consent prior to receipt of such revocation.

5. LIMITATION OF LIABILITY

Except to the extent caused by gross negligence or willful misconduct, neither party shall be liable to the other for incidental, consequential, special, punitive or exemplary damages arising out of or related to the performance of this Signature Page.

6. NOTICES

All notices, requests, demands and other communications required or permitted under this Signature Page shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may designate by written notice to the other party.

7. AMENDMENT; WAIVER

No amendment, modification or waiver of any provision of this Signature Page shall be effective unless it is in writing and signed by the parties. No party's failure to enforce any provision of this Signature Page shall constitute a waiver of future enforcement of that or any other provision.

8. COUNTERPARTS; ELECTRONIC SIGNATURES

This Signature Page may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be treated as original signatures for all purposes.

9. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY
