RECITALS

For purposes of this Agreement, the following terms shall have the meanings set forth below. "Consent" means the written authorization granted by Consenting Party permitting Recipient Party to access, use, disclose, or act with respect to the Information. "Information" means the specific records, materials, or rights identified in Section 2 below.

3. DURATION AND TERMINATION

4. REVOCATION

Consenting Party may revoke this Consent at any time by providing written notice to Recipient Party in accordance with the Notices provision of this Agreement. Revocation shall be effective upon receipt by Recipient Party, but shall not affect any disclosures or actions taken by Recipient Party in reliance on this Consent prior to receipt of the revocation that were otherwise lawful.

5. REPRESENTATIONS AND WARRANTIES

Consenting Party represents and warrants that it has the full right and authority to grant the Consent described herein and that the execution and performance of this Agreement will not violate any agreement, law, or duty to any third party. Recipient Party represents and warrants that it will use the Information only for the Purpose and in compliance with all applicable laws and contractual obligations.

6. CONFIDENTIALITY

Recipient Party shall treat the Information as confidential and shall implement and maintain reasonable administrative, technical, and physical safeguards to protect the Information from unauthorized use or disclosure. Recipient Party shall limit access to the Information to employees, contractors, or agents who have a need to know for the Purpose and who are bound to confidentiality obligations no less protective than those set forth herein.

7. INDEMNIFICATION

Recipient Party agrees to indemnify, defend, and hold harmless Consenting Party and its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from Recipient Party's breach of this Agreement or its negligent or intentional misuse of the Information.

8. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF CONFIDENTIALITY OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, when sent by certified mail (return receipt requested), or when sent by nationally recognized overnight courier to the addresses set forth above or such other address as either party may specify by notice to the other.

10. AMENDMENTS; WAIVER

This Agreement may be amended only by a written instrument executed by both parties. No waiver of any provision hereof shall be effective unless in writing and signed by the party against whom the waiver is asserted. Failure to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state indicated below, without regard to its conflict of laws principles.

13. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired.

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed original signatures for all purposes.
