LEGAL CONSENT TO DISCLOSE FORM

RECITALS

WHEREAS, the Authorizing Party possesses certain Confidential Information (as defined below) and desires that such information be disclosed by the Disclosing Party to third parties for the limited purposes stated below; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Confidential Information" means any information, whether oral, written, electronic, or in any other form, relating to the Authorizing Party that is not generally known to the public, including but not limited to financial records, medical records, employment records, education records, tax information, legal records, identification numbers, and other personally identifiable data.

1.2 "Permitted Recipient(s)" means the third party or parties identified in Section 4 to whom the Disclosing Party is authorized to disclose Confidential Information pursuant to this Agreement.

2. AUTHORIZATION AND SCOPE

2.1 The Authorizing Party hereby authorizes the Disclosing Party to disclose the Authorizing Party's Confidential Information to the Permitted Recipient(s) and to use such information as reasonably necessary to accomplish the Purpose described in Section 5. This authorization is limited to the specific categories of information identified in Section 3 and to the Permitted Recipient(s) identified in Section 4.

Revocation is effective upon receipt by the Disclosing Party, except to the extent that the Disclosing Party has already relied upon this authorization in making disclosures or taking action in reliance hereon.

9. CONFIDENTIALITY, LIMITATIONS ON USE AND REDISCLOSURE

9.1 The Disclosing Party shall disclose Confidential Information only to the Permitted Recipient(s) and shall instruct each Permitted Recipient that the Confidential Information is subject to the restrictions of this Agreement. The Permitted Recipient(s) shall use disclosed Confidential Information solely for the Purpose set forth in Section 5 and shall not further disclose it except (a) with additional written authorization from the Authorizing Party, or (b) as required by law, in which case the Disclosing Party shall give prompt notice to the Authorizing Party if permitted by law.

9.2 The Disclosing Party shall exercise reasonable care to protect the confidentiality of the Confidential Information and shall implement safeguards appropriate to the sensitivity of the data.

10. LIABILITY AND INDEMNIFICATION

10.1 The Disclosing Party shall be liable for unauthorized disclosures resulting from the Disclosing Party's failure to comply with the terms of this Agreement. To the extent permitted by applicable law, the Disclosing Party agrees to indemnify and hold harmless the Authorizing Party from claims, losses, damages, and expenses (including reasonable attorneys' fees) arising from the Disclosing Party's breach of this Agreement.

11. FEES AND COSTS

11.1 The Disclosing Party may charge a reasonable fee for reproduction, copying, or transmission of records, provided that any such fees comply with applicable law and the Authorizing Party is notified in advance.

12. NOTICES

12.1 Any notice or other communication required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as a party may designate by notice).

13. AMENDMENTS; WAIVER; COUNTERPARTS

13.1 This Agreement may be amended or modified only by a written instrument signed by both parties. No waiver of any provision of this Agreement shall be effective unless in writing signed by the party against whom the waiver is asserted. This Agreement may be executed in counterparts, each of which shall be an original and all of which together shall constitute one and the same instrument.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

14.1 This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of law principles. The parties may specify a governing jurisdiction for disputes arising under this Agreement.

14.2 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. ACKNOWLEDGMENT AND CERTIFICATION

By signing below, the Authorizing Party certifies that they are the individual referenced above or the authorized representative of the individual, that they have the authority to authorize disclosure of the identified Confidential Information, that they understand the terms of this Agreement, and that they voluntarily authorize the disclosures described herein.
