LEGAL CONSENT TO JOIN FORM

RECITALS

WHEREAS, the Receiving Party is a party to a certain agreement or instrument identified as (the "Agreement"); and

WHEREAS, the Consenting Party desires to join the Agreement and to be bound by the terms, covenants and obligations of a party thereunder to the extent specified below; and

WHEREAS, the Receiving Party has reviewed this request and, subject to the terms and conditions contained herein, is willing to accept the Consenting Party as a party to the Agreement on the terms set forth in this Consent.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth in this Consent and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. CONSENT TO JOIN

1.1 Consent. The Receiving Party hereby consents to the admission of the Consenting Party as a party to the Agreement to the extent necessary to bind the Consenting Party to those rights and obligations expressly set forth in the Agreement and this Consent. The Consenting Party accepts such admission and agrees to be bound by and perform all duties, obligations and liabilities of a party under the Agreement arising on or after the effective date specified herein, subject to the terms and conditions of this Consent.

2. REPRESENTATIONS AND WARRANTIES

2.1 Consenting Party Representations. The Consenting Party represents and warrants to the Receiving Party that: (a) it has the full power and authority to execute and deliver this Consent and to perform its obligations under the Agreement as so joined; (b) this Consent constitutes a legal, valid and binding obligation enforceable against the Consenting Party in accordance with its terms; and (c) the execution and performance of this Consent and the acceptance of the obligations hereunder will not violate any applicable law, regulation, contractual restriction or order to which the Consenting Party is subject.

2.2 Receiving Party Representations. The Receiving Party represents that it is authorized to accept the Consenting Party as a party to the Agreement and that, to the Receiving Party’s knowledge, no further consents or approvals are required other than those set forth in the Agreement or obtained in writing contemporaneously with this Consent.

3. SCOPE; LIMITATIONS; INDEMNITY

3.1 Scope. The Consenting Party shall be bound by all covenants, conditions and obligations of a party under the Agreement only to the extent expressly provided in this Consent and the Agreement. Unless expressly provided herein, the Consenting Party shall not assume liabilities or obligations of the Receiving Party that are expressly stated in the Agreement to be the sole obligations of the Receiving Party prior to the effective date of this Consent.

3.2 Limitations. Nothing in this Consent shall (a) create any right of contribution or indemnity against the Receiving Party for obligations of the Consenting Party arising prior to the effective date, except as expressly set forth herein, or (b) impair any right the Receiving Party may have under the Agreement against third parties.

3.3 Indemnity. The Consenting Party shall indemnify, defend and hold harmless the Receiving Party, its affiliates, officers, directors and agents from and against any and all losses, liabilities, claims, damages and expenses (including reasonable attorneys’ fees) arising from any breach of the representations, warranties or obligations of the Consenting Party under this Consent or the Agreement following the effective date.

4. CONDITIONS TO EFFECTIVENESS

4.1 Conditions. This Consent shall become effective only upon the receipt by the Receiving Party of: (a) a fully executed copy of this Consent; and (b) any documentation reasonably required by the Receiving Party to verify the authority of the Consenting Party to execute this Consent. The Receiving Party may, in its reasonable discretion, withhold acceptance if any condition precedent is not satisfied.

5. NOTICE INFORMATION

5.1 Method. All notices, requests, consents and other communications required or permitted under this Consent shall be in writing and shall be delivered by personal delivery, nationally recognized overnight courier, certified mail (return receipt requested) or by electronic transmission where delivery can be evidenced, in each case to the address set forth above or to such other address as either party shall designate by notice to the other in accordance with this Section. Notices shall be deemed given when received.

6. AMENDMENT; WAIVER

6.1 Amendment. This Consent may not be amended except by a written instrument signed by both parties that expressly states that it is an amendment to this Consent.

6.2 Waiver. No failure or delay by either party in exercising any right, power or remedy under this Consent shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power or remedy preclude any other or further exercise thereof or the exercise of any other right, power or remedy.

7. GOVERNING LAW; VENUE

7.1 Governing Law. This Consent shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to its conflict of law principles.

8. ENTIRE AGREEMENT; SEVERABILITY

8.1 Entire Agreement. This Consent, together with the Agreement as modified by this Consent and any documents expressly referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

8.2 Severability. If any provision of this Consent is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such provision shall be modified or severed to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

9. COUNTERPARTS; ELECTRONIC SIGNATURES

9.1 Counterparts. This Consent may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

9.2 Electronic Signatures. Signatures delivered by electronic transmission (including scanned and e-mailed copies) shall be valid and binding for all purposes.

10. ADDITIONAL PROVISIONS

10.1 Interpretation. Headings are for convenience only and shall not affect the interpretation of this Consent. Words such as "includes" and "including" shall be deemed to be followed by the words "without limitation" whether or not they are in fact followed by those words.
