LEGAL CONSTRUCTION GUIDELINES

This Legal Construction Guidelines ("Guidelines") is made and entered into by and between Client Name: ("Owner") and Contractor Name: for the Project Name: located at Project Address: effective as of Date: .

RECITALS

WHEREAS, Owner intends to undertake construction, renovation or related work described in the Project Name and requires consistent standards to govern the performance, submittal review, inspections and site operations; and

WHEREAS, Contractor is engaged to perform construction services for the Project and agrees to adhere to the rules and procedures set forth in these Guidelines to ensure safety, quality, regulatory compliance and coordination among parties; and

WHEREAS, both parties desire to establish binding administrative and operational standards that will apply to the Work in addition to the Contract Documents.

NOW THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree that these Guidelines shall govern the performance of the Work described in the Contract Documents and shall form an administrative component of the Contract Documents to the extent not inconsistent with the prime construction agreement between the parties.

1. DEFINITIONS

For purposes of these Guidelines, the following definitions apply: "Contract Documents" means the construction contract, plans, specifications, addenda, change orders and these Guidelines; "Work" means all labor, materials and services necessary to complete the Project in accordance with the Contract Documents; "Submittals" means drawings, samples, product data, quality control plans and other submissions required for review prior to procurement or installation.

2. SCOPE AND APPLICATION

These Guidelines apply to all contractors, subcontractors and consultants performing Work at the Project site. Where the Contract Documents impose more stringent requirements, the more stringent provisions shall govern. These Guidelines are not intended to modify the pricing, payment or scope obligations of the prime construction agreement unless expressly stated in a written change order executed by both parties.

3. COMPLIANCE WITH LAWS AND CODES

Contractor shall perform the Work in compliance with applicable statutes, codes, ordinances, regulations and mandatory standards in effect at the time of performance. Contractor shall obtain and maintain all permits, licenses and inspections required by authorities having jurisdiction, and shall provide evidence of such permits upon request. Failure to secure required permits or to comply with applicable law shall constitute a breach of the Contract Documents and Contractor shall be responsible for any resulting costs, fines or corrective actions.

4. PERMITS, APPROVALS AND FEES

Unless otherwise allocated in the Contract Documents, Contractor shall apply for and procure all permits and approvals necessary for execution of the Work. Contractor shall pay permit fees and promptly notify Owner of any permitting conditions that materially affect schedule or cost. Contractor shall coordinate inspections with authorities and provide required documentation to Owner within ten (10) business days of request.

5. SUBMITTALS, SHOP DRAWINGS AND SAMPLES

Contractor shall submit all submittals in the sequence and timing required by the Contract Documents. Submittals must be complete, clearly identified and include product data, samples and quality control plans as required. Review by Owner or Designer is for general conformity only and does not relieve Contractor of responsibility for means, methods, dimensions, quantities or performance. If Owner returns submittals for revision, Contractor shall resubmit within the period specified and bear any costs associated with delayed approval.

6. MATERIALS, WORKMANSHIP AND STANDARDS

All materials and workmanship shall conform to the specifications and recognized industry standards for the type of Work performed. Materials shall be new, stored and handled to prevent damage, and shall be accompanied by manufacturer warranties and certificates when required. Contractor shall ensure trade and professional standards of care consistent with that ordinarily exercised by competent contractors performing similar work.

7. CHANGES AND CHANGE ORDERS

No change in the Work shall be made except pursuant to a written change order executed by authorized representatives of Owner and Contractor. Contractor shall submit a written proposal for any requested change including scope, cost and time impacts. Owner may reject, accept or negotiate the proposal. If Owner directs Work that constitutes a constructive change, Contractor shall promptly notify Owner in writing and seek a written change order before proceeding.

8. SCHEDULE; DELAYS; TIME EXTENSIONS

Contractor shall prepare and maintain a project schedule showing critical path activities and milestones. Time is of the essence. Contractor shall notify Owner in writing within five (5) business days of any event reasonably likely to delay performance, describing the cause, anticipated duration and actions to mitigate delay. Extensions of time will be granted only for excusable delays and upon submission of a written claim in accordance with the Contract Documents.

9. INSPECTIONS, TESTING AND ACCEPTANCE

Contractor shall provide access for inspections and tests required by the Contract Documents or authorities. Contractor shall bear costs of any tests that reveal nonconforming Work. Final acceptance of the Work is conditioned upon completion of corrective items, provision of required closeout documentation, and demonstration that the Work complies in all material respects with the Contract Documents.

10. SITE SAFETY, SECURITY AND ENVIRONMENTAL PROTECTION

Contractor shall be solely responsible for jobsite safety, security and environmental protection. Contractor shall establish and enforce site rules, provide all safety equipment, implement erosion and pollution controls and comply with applicable occupational safety and environmental standards. Contractor shall immediately notify Owner of any accident, spill or condition presenting imminent hazard and shall take immediate action to contain and remediate same at Contractor's expense.

11. RECORDS, ACCESS AND COOPERATION

Contractor shall maintain records of labor, materials, tests, submittals and communications arising from the Work. Owner and its representatives shall have reasonable access to the site and to Contractor's records during normal business hours. Contractor shall cooperate with other contractors and with Owner to coordinate interfaces and sequencing.

12. CONFIDENTIALITY

Confidential information disclosed in connection with the Project, including proprietary plans, specifications and cost data, shall be held in strict confidence by the receiving party and shall not be used for any purpose other than performance of the Work. This obligation survives termination of the Contract Documents.

13. INDEMNITY AND LIABILITY

Contractor shall indemnify, defend and hold Owner and Owner's agents harmless from and against claims, damages, losses and expenses (including reasonable attorneys' fees) arising out of Contractor's performance of the Work, except to the extent such claims are caused by Owner's negligence or willful misconduct. Liability under this indemnity shall survive termination of the Contract Documents.

14. INSURANCE

Contractor shall maintain insurance coverages customary for the type of Work including commercial general liability, workers' compensation and automobile liability. Contractor shall deliver certificates of insurance and endorsements naming Owner as additional insured where required by the Contract Documents prior to commencing Work.

15. DISPUTE RESOLUTION; ATTORNEYS' FEES

The parties shall attempt in good faith to resolve disputes arising under these Guidelines promptly by negotiation between designated representatives. If a dispute is not resolved within thirty (30) days, the parties may proceed to mediation or otherwise pursue remedies available under the Contract Documents. The prevailing party in any legal proceeding shall be entitled to recover reasonable attorneys' fees and costs.

16. TERMINATION

Owner may suspend or terminate performance of the Work in accordance with the Contract Documents. Contractor may terminate only for material breach by Owner if Owner fails to cure within a specified cure period after written notice. Upon termination, Contractor shall provide an account of Work performed and shall mitigate costs to the extent practicable.

17. NOTICES

All notices required or permitted under these Guidelines shall be in writing and delivered to the addresses indicated below by hand delivery, nationally recognized courier, or certified mail, return receipt requested, and shall be effective upon receipt.

18. AMENDMENTS; WAIVER; COUNTERPARTS

These Guidelines may be amended only by a written instrument executed by authorized representatives of both parties. No waiver of any provision is effective unless in writing signed by the waiving party. This document may be executed in counterparts, each of which is an original and all of which constitute one instrument.

19. GOVERNING LAW

These Guidelines shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

20. ENTIRE AGREEMENT; SEVERABILITY

These Guidelines, together with the Contract Documents, constitute the entire agreement of the parties with respect to the subject matter hereof. If any provision is held invalid or unenforceable, the remainder of these Guidelines shall remain in full force and effect.
