LEGAL CONSTRUCTION SET — CONSTRUCTION SERVICES AGREEMENT

This Construction Services Agreement (the Agreement) is made and entered into as of by and between Owner: , with principal address: , and Contractor: , with principal address: .

RECITALS

WHEREAS, Owner intends to undertake certain construction, renovation, and/or improvement work described as: (the Project) at the property located at: ; and

WHEREAS, Contractor represents that it is duly licensed, experienced, and qualified to perform the construction work for the Project and desires to perform such work for Owner in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their mutual rights and obligations regarding the scope, payment, schedule, and administration of the Project.

NOW, THEREFORE

In consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. SCOPE OF WORK

1.1 Contractor shall furnish all labor, materials, equipment, supervision, and services necessary to complete the Project in accordance with the Contract Documents. The detailed scope of work is set forth below and shall control over any conflicting general description:

2. CONTRACT PRICE AND PAYMENT

2.1 Contract Price. Owner shall pay Contractor for performance of the Work the total contract price of $ (the Contract Price), subject to additions and deductions for Change Orders as provided herein.

2.2 Payment Schedule. Payments shall be made in accordance with the progress payment schedule: . Final payment shall be due upon completion of the Work, submission of Contractor's final invoice, and Owner's receipt of lien waivers and certificate of completion.

2.3 Invoices. Contractor shall submit written invoices itemizing work completed and materials supplied. Owner shall pay undisputed amounts within days of receipt. Disputes shall be resolved in good faith and shall not relieve Owner of its obligation to pay undisputed portions.

3. TIME AND SCHEDULE

3.1 Commencement and Completion. Contractor shall commence the Work on or before and shall achieve Substantial Completion by subject to adjustments for Change Orders, delays, and Force Majeure events.

3.2 Liquidated Damages. If agreed, liquidated damages shall apply at a rate of $ per day for each day beyond the date of Substantial Completion, unless delays are excused under this Agreement.

4. CHANGES AND CHANGE ORDERS

4.1 No changes to the Work shall be binding unless made pursuant to a written Change Order signed by Owner and Contractor which specifies the change in Work, adjustment to the Contract Price, and any change in time for completion. Contractor shall not proceed with changed Work without a signed Change Order except at Owner's risk of nonpayment.

5. DELAYS AND FORCE MAJEURE

5.1 Neither party shall be liable for delay or failure to perform to the extent such delay or failure is caused by Force Majeure events beyond the reasonable control of the affected party, including acts of God, strikes, governmental orders, epidemics, or severe weather. The party affected shall promptly notify the other party and shall use commercially reasonable efforts to mitigate the delay.

6. WARRANTIES

6.1 Contractor warrants that all Work furnished under this Agreement will be performed in a workmanlike manner, free from material defects, and in accordance with the Contract Documents and applicable law for a period of from the date of Substantial Completion. Repair or replacement under warranty shall not extend the warranty period except as to the repaired or replaced work.

7. INDEMNITY AND LIMITATION OF LIABILITY

7.1 Contractor shall indemnify, defend, and hold Owner and its agents harmless from and against all claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) to the extent caused by the negligent acts or omissions or willful misconduct of Contractor, its employees, subcontractors, or agents, except to the extent such claims arise from Owner's negligence.

7.2 Neither party shall be liable to the other for consequential, incidental, special, or punitive damages except where such damages arise from gross negligence or willful misconduct.

8. INSURANCE

8.1 Contractor shall maintain at its expense insurance with limits and coverages customary for the industry, including commercial general liability, workers' compensation, and automobile liability. Certificates of insurance naming Owner as additional insured shall be delivered prior to commencement of the Work.

9. LIENS AND PAYMENT BONDS

9.1 Contractor shall promptly pay all subcontractors, suppliers, and laborers and shall keep the Project free from liens. If liens are filed, Contractor shall promptly cause their release and shall indemnify Owner against any costs or losses arising from such liens. If required by Owner, Contractor shall furnish a payment bond in a form and amount acceptable to Owner.

10. TERMINATION

10.1 Owner may terminate this Agreement for convenience upon written notice to Contractor, in which event Contractor shall be entitled to payment for work performed to the date of termination and for reasonable demobilization costs. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure the breach within days after written notice.

11. DISPUTE RESOLUTION

11.1 The parties shall first attempt to resolve disputes through good faith negotiation. If negotiation fails, the parties agree to submit disputes to non-binding mediation. If mediation does not resolve the dispute, the parties shall resolve the dispute by binding arbitration administered in accordance with the parties' selected arbitration rules, and judgment on the award may be entered in any court of competent jurisdiction.

12. NOTICES

12.1 All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth in the opening paragraph or to such other address as either party designates by written notice. Notices shall be deemed given when delivered personally, by nationally recognized overnight courier, or three days after deposit in the United States mail, postage prepaid.

13. GOVERNING LAW

13.1 This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice-of-law principles.

14. ENTIRE AGREEMENT

14.1 This Agreement, together with the Contract Documents referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral.

15. SEVERABILITY

15.1 If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed to the extent necessary and the remaining provisions shall remain in full force and effect.

16. AMENDMENTS; WAIVER

16.1 Any amendment to this Agreement must be in writing and signed by both parties. The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of that provision or the right to enforce it in the future.

17. COUNTERPARTS AND ELECTRONIC SIGNATURES

17.1 This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by electronically generated image or electronic signature shall be binding and have the same force and effect as original signatures.
