LEGAL CONSULTATION FEE AGREEMENT

This Legal Consultation Fee Agreement ("Agreement") is entered into as of Effective Date: by and between Attorney Name: of Law Firm: , with principal office at (collectively "Attorney"), and Client Name: , residing/located at ("Client").

RECITALS

WHEREAS, Client desires to obtain a limited consultation concerning legal matters described as: ; and

WHEREAS, the parties desire to set forth the fees, payment terms and related obligations with respect to the consultation.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT; SCOPE

1.1 Engagement. Client hereby engages Attorney to provide a legal consultation limited to the subject matter described above. The consultation shall not constitute full representation in any pending or future litigation or transaction unless the parties execute a separate written engagement agreement.

1.2 Scope. The consultation will include advice, analysis, and recommendations made verbally or in writing during the consultation session(s). Specific services to be rendered:

2.1 Consultation Fee. Client shall pay Attorney a flat fee for the consultation in the amount of $ (the "Fee"). The Fee is payable as set forth below.

2.2 Retainer. A retainer in the amount of $ is required prior to scheduling the consultation. The parties agree that retention of the retainer shall secure Attorney's availability. The retainer is unless otherwise agreed in writing.

4. INVOICING; LATE PAYMENTS; COLLECTION

4.1 Invoicing. Attorney will provide an itemized invoice for Fee balance and reimbursable expenses. Invoices are payable upon receipt unless otherwise agreed in writing.

4.2 Late Payments. Unpaid amounts shall accrue interest at the rate of or the maximum rate permitted by law, whichever is less. Client shall also be liable for reasonable collection costs and attorneys' fees incurred by Attorney in collecting overdue amounts.

5. CONFIDENTIALITY AND PRIVILEGE

Attorney acknowledges the confidential nature of Client communications and will take reasonable measures to preserve confidentiality and, where applicable, attorney-client privilege. Nothing in this Agreement waives Client's rights with respect to privilege, and Attorney shall assert privilege where appropriate.

6. CONFLICTS; CLIENT COOPERATION

Client represents that to the best of Client's knowledge no conflict of interest exists that would prevent Attorney from providing the consultation. Client agrees to cooperate, provide full and truthful information and to disclose any facts material to the matters addressed in the consultation.

7. TERMINATION

Either party may terminate this Agreement upon written notice to the other. Upon termination Client shall pay Attorney for all services rendered and expenses incurred through the effective date of termination in accordance with the terms of this Agreement.

8. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as either party may designate by notice.

9. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Electronic signatures and transmitted copies shall be binding.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

10.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

10.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

10.3 Severability. If any provision of this Agreement is determined to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves the original intent to the extent possible.
