LEGAL CONSULTATION FORM

This Legal Consultation Agreement (the "Agreement") is made as of the day of , between Client Name: with address: ("Client"), and Attorney/Firm Name: with address: ("Attorney").

RECITALS

WHEREAS, Client seeks legal advice and consultation regarding the matter described in Section 2 below and has requested that Attorney provide such consultation on the terms and conditions set forth in this Agreement;

WHEREAS, Attorney is duly authorized and qualified to provide legal advice and consultation in the jurisdiction identified in Section 13 and represents that Attorney has the professional competence and capacity to perform the services described herein;

WHEREAS, the parties desire to set forth their respective obligations, fee arrangements, and terms governing the consultation relationship.

NOW, THEREFORE, in consideration of the mutual promises and covenants set forth herein, the parties agree as follows:

1. SCOPE OF CONSULTATION

Attorney shall provide legal consultation to Client regarding the matter described below. Attorney's services are limited to advising Client as to legal options, strategy, and potential next steps; Attorney is not retained to commence litigation, represent Client in court, or perform transactional work unless expressly agreed in writing.

2. CLIENT RESPONSIBILITIES

Client shall provide all information, documents, and cooperation reasonably necessary for Attorney to provide the consultation, including full disclosure of facts, identification of potential witnesses, and timely responses to requests. Client warrants that the information provided is true and complete to the best of Client's knowledge.

3. FEES, RETAINER AND BILLING

Client agrees to pay Attorney for the consultation services rendered under this Agreement in accordance with the fee arrangement selected below. Fees are earned when services are performed. Client is responsible for all costs and expenses advanced by Attorney on behalf of Client.

Hourly rate at $ per hour (billed in minimum increments of hour).

Flat fee: $ (covers the services specifically described in Section 1).

Contingency arrangement:

Attorney shall render periodic statements for fees and expenses. Payment is due in accordance with the invoice. Unpaid balances may accrue interest and Attorney may suspend further services until outstanding balances are paid. Client authorizes Attorney to withdraw fees and expenses from the retainer/trust account as earned and incurred.

4. CONFIDENTIALITY AND ATTORNEY-CLIENT PRIVILEGE

All communications between Attorney and Client created for the purpose of obtaining or providing legal advice are confidential and subject to the attorney-client privilege to the fullest extent recognized by law. Client acknowledges that Attorney may cooperate with third-party service providers engaged to support Attorney's services, provided that such providers are bound to maintain confidentiality.

Confidential information does not include information that (a) is or becomes publicly known through no breach of this Agreement, (b) is received from a third party free to disclose it, or (c) is required to be disclosed by law, court order, or ethical obligations of Attorney; in the latter event Attorney will, where permitted, seek to provide Client with notice prior to disclosure.

5. CONFLICTS OF INTEREST

Attorney represents that, to the best of Attorney's knowledge, there are no present conflicts that would preclude representation. Client must disclose any facts or relationships that may give rise to a conflict. If a conflict arises that cannot be resolved, Attorney may withdraw and Client shall remain responsible for fees for services performed prior to withdrawal.

Client acknowledges and confirms: Client confirms no known conflict as of the effective date.

6. FILES; DOCUMENTS; RECORDS

Client authorizes Attorney to retain copies of all correspondence and documentation prepared in the course of the consultation. Original documents provided by Client will be returned upon request unless retained to satisfy outstanding fees. Attorney may destroy records after a reasonable retention period, provided Client is given notice of retention policies where required by applicable professional rules.

7. TERMINATION

Either party may terminate this Agreement upon written notice to the other. Termination does not relieve Client of the obligation to pay fees and expenses incurred prior to termination. Upon termination, Attorney will provide a final statement of fees and expenses and, upon payment, will deliver Client files as required by this Agreement.

8. NOTICES

Any notice required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail, or delivered by courier to the addresses provided below or to such other address as either party designates in writing.

9. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party waiving compliance. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings, whether written or oral. If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. DISPUTE RESOLUTION

Any dispute arising out of or relating to this Agreement shall be resolved in the courts of the state specified in Section 10. The prevailing party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs.
