LEGAL CONSULTING AGREEMENT

This Legal Consulting Agreement (the "Agreement") is made effective as of , by and between Client Name: , Client Entity Type: , with principal place of business or residence at ; and Consultant Name: , Consultant Entity Type: , with principal place of business at .

RECITALS

WHEREAS, Client desires to obtain legal consulting and advisory services concerning matters described in Section 1 below; and

WHEREAS, Consultant is duly qualified and experienced to provide such legal consulting services and is willing to provide such services on the terms set forth in this Agreement; and

WHEREAS, Client and Consultant desire to set forth their mutual rights and obligations with respect to the engagement.

NOW, THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. ENGAGEMENT; SCOPE OF SERVICES

1.1 Engagement. Client hereby engages Consultant, and Consultant accepts such engagement, to provide legal consulting services described in this Agreement and any Statement of Work executed by the parties (the "Services").

1.2 Description of Services. Consultant will perform the Services as set forth herein and in any attached Statement of Work. Describe core matters and deliverables in detail:

1.3 Changes. Any material changes to the scope, schedule, or deliverables shall require a written amendment signed by both parties. Consultant may propose adjustments to fees and timeline for materially expanded scope.

2. TERM

2.1 Term. The term of this Agreement shall commence on , and shall continue until , unless earlier terminated in accordance with Section 10.

3. FEES; PAYMENT; EXPENSES

3.1 Fees. Client shall pay Consultant at the following rate: Hourly Rate: per hour; or Fixed Fee: , as specified in any Statement of Work.

3.2 Retainer and Billing. Retainer amount, if any: . Consultant will invoice Client in arrears for fees and reimbursable expenses. Payment is due within days of invoice.

3.3 Late Payment. Unpaid amounts shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Client will also reimburse Consultant for reasonable collection costs.

3.4 Expenses. Client shall reimburse Consultant for reasonable, preapproved out-of-pocket expenses incurred in connection with the performance of Services upon submission of receipts. Consultant will not incur third-party professional fees in excess of without Client's prior written approval.

4. CONFIDENTIALITY

4.1 Definition. "Confidential Information" means non-public information disclosed by either party that is designated confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

4.2 Obligation. Each party shall: (a) hold Confidential Information of the other in strict confidence; (b) use such information solely to perform its obligations under this Agreement; and (c) limit disclosure to representatives with a need to know who are bound by confidentiality obligations no less protective than those herein.

4.3 Exceptions. Confidential Information shall not include information that is (a) publicly known through no breach by the receiving party; (b) rightfully received by the receiving party from a third party without restriction; or (c) independently developed without use of the other party's Confidential Information. A receiving party may disclose Confidential Information to the extent required by law or court order, provided it gives prompt notice to the disclosing party to permit a protective order or other remedy.

5. CONFLICTS; STANDARDS OF PERFORMANCE

5.1 Conflicts. Consultant represents that, to the best of its knowledge, no conflict of interest exists that would impair Consultant's ability to provide the Services. Consultant will promptly disclose any potential conflict that arises during the term.

5.2 Professional Standards. Consultant will perform the Services in a diligent, professional manner consistent with applicable legal and ethical standards for consultants and advisors in comparable matters.

6. WORK PRODUCT; INTELLECTUAL PROPERTY

6.1 Ownership. Except as otherwise agreed in writing, Consultant hereby assigns to Client all right, title and interest in and to the deliverables and work product specifically prepared for Client under this Agreement ("Work Product"). Consultant retains ownership of its pre-existing materials, know-how, methodologies, and tools ("Consultant Materials") and grants Client a nonexclusive, nontransferable license to use Consultant Materials solely as incorporated in the Work Product.

6.2 Third-Party Materials. Any third-party software or materials included in deliverables shall be subject to the third party's license terms; Consultant will identify such materials in writing and obtain necessary permissions.

7. RECORDS; AUDIT

Consultant shall maintain records of time and expenses reasonably sufficient to support amounts invoiced to Client. Client or its designated auditor may, upon reasonable prior notice and during regular business hours, inspect such records for the purpose of verifying charges; any such inspection shall be conducted in a manner that does not unreasonably disrupt Consultant's business.

8. TERMINATION

8.1 Termination for Cause. Either party may terminate this Agreement upon written notice if the other party materially breaches any provision and fails to cure the breach within 30 days after receipt of written notice specifying the breach.

8.2 Termination for Convenience. Either party may terminate this Agreement without cause upon 30 days' prior written notice. Upon termination, Client will pay Consultant for Services performed and reimbursable expenses incurred through the effective date of termination, plus any non-cancellable commitments.

9. INDEMNIFICATION; LIMITATION OF LIABILITY

9.1 Indemnification by Consultant. Consultant shall indemnify and hold Client harmless from and against any third-party claims arising from Consultant's gross negligence or willful misconduct in performing the Services.

9.2 Indemnification by Client. Client shall indemnify and hold Consultant harmless from and against liabilities arising from Client's use of the Work Product, Client-provided information, or Client's breach of this Agreement.

9.3 Limitation of Liability. Except for liabilities arising from gross negligence, willful misconduct or indemnification obligations, neither party shall be liable to the other for incidental, consequential, special, punitive, or exemplary damages. The aggregate liability of either party for direct damages shall not exceed the fees actually paid to Consultant under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested), or nationally recognized overnight courier, and shall be effective upon receipt.

11. MISCELLANEOUS PROVISIONS

11.1 Independent Contractor. Consultant is an independent contractor and not an employee, partner, or agent of Client. Consultant is solely responsible for taxes, withholdings and other statutory obligations of an independent contractor.

11.2 Amendments and Waiver. No amendment or waiver shall be effective unless in writing and signed by both parties. The waiver of any breach shall not be deemed a waiver of subsequent breaches.

11.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect and shall be construed so as to best effectuate the parties' intent.

11.4 Entire Agreement. This Agreement, together with any Statements of Work or exhibits referenced herein, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral, relating to the subject matter hereof.

11.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission shall be binding.

11.6 Governing Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the state identified below. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that state for any dispute arising out of or relating to this Agreement.
