This Extension shall be governed by and construed in accordance with the laws of the jurisdiction specified in the Agreement. If the Agreement does not specify a governing jurisdiction, the laws of the state applicable to the principal place of performance shall govern.

10. ENTIRE AGREEMENT

This Extension, together with the Agreement and any other documents incorporated by reference, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, relating to such subject matter.

11. SEVERABILITY

If any provision of this Extension is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall remain in full force and effect.
