LEGAL CONTRACT ACCEPTANCE

RECITALS

WHEREAS, the parties have negotiated the material terms of a primary contract described as Contract Title: (the "Primary Contract");

1. Acceptance; Effective Date

1.1 Acceptance. Client hereby accepts and agrees to be bound by the terms of the Primary Contract as of the Effective Date specified above, and Counterparty hereby acknowledges receipt of such acceptance. This instrument constitutes the definitive acceptance of those rights, obligations and duties expressly set forth in the Primary Contract and agreed by the parties in writing.

1.2 Effect of Acceptance. From the Effective Date, the obligations of each party described in this Acceptance shall be enforceable obligations of the accepting party in accordance with their terms. To the extent of any conflict between this Acceptance and the Primary Contract with respect to acceptance mechanics, the terms of this Acceptance shall control only for the limited purpose of evidencing the parties' mutual assent.

2. Scope of Acceptance

2.1 Scope. The acceptance applies to the following sections of the Primary Contract: . All other provisions of the Primary Contract remain subject to further negotiation unless expressly incorporated herein.

5. Confidentiality

5.1 Confidential Information. The parties acknowledge that information exchanged in connection with the Primary Contract and this Acceptance that is designated confidential or that a reasonable person would understand to be confidential shall be treated as Confidential Information. Each party shall protect such Confidential Information with at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care.

5.2 Exceptions. Confidential Information does not include information that: (a) is or becomes publicly known through no breach by the receiving party; (b) is rightfully received from a third party without restriction; or (c) is independently developed without use of confidential materials.

6. Indemnification and Liability

6.1 Indemnification. Each party agrees to indemnify, defend and hold harmless the other party from and against any and all losses, claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Acceptance, negligence, willful misconduct or violation of law.

6.2 Limitation of Liability. Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality or indemnification obligations, in no event shall either party be liable for consequential, incidental, special or punitive damages even if advised of the possibility of such damages.

7. Termination

This Acceptance shall remain in effect until the earlier of: (a) the expiration or termination of the Primary Contract, or (b) termination by mutual written agreement of the parties. Termination shall not relieve either party of liabilities accrued prior to termination.

8. Notices

All notices required or permitted under this Acceptance shall be in writing and delivered to the addresses set forth below by personal delivery, nationally recognized overnight courier, or certified mail (return receipt requested). Notices shall be effective upon receipt.

9. Miscellaneous

9.1 Governing Law. This Acceptance shall be governed by and construed in accordance with the internal laws of the jurisdiction governing the Primary Contract without regard to principles of conflicts of law.

9.2 Entire Agreement. This Acceptance, together with the incorporated provisions of the Primary Contract expressly identified herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating thereto.

9.3 Severability. If any provision of this Acceptance is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect and the invalid or unenforceable provision shall be reformed to the minimum extent necessary to make it enforceable.

9.4 Amendments; Waiver. No amendment, modification or waiver of any provision of this Acceptance shall be effective unless in a writing signed by both parties. Failure or delay by either party to enforce any right shall not constitute a waiver of that right.

9.5 Counterparts. This Acceptance may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission shall be binding for all purposes.
