LEGAL CONTRACT ADDENDUM

3. INCORPORATION; CONFLICT

Except as expressly amended herein, all terms and conditions of the Agreement remain unmodified and in full force and effect. In the event of any inconsistency between the terms of this Addendum and the Agreement, the terms of this Addendum shall control.

4. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other that: (a) it has the full right, power, and authority to enter into and perform its obligations under this Addendum; (b) the execution, delivery and performance of this Addendum have been duly authorized by all necessary corporate or other action; and (c) this Addendum constitutes a valid and binding obligation enforceable in accordance with its terms.

5. CONSIDERATION

The Parties acknowledge that the mutual promises and agreements contained in this Addendum constitute sufficient consideration for the modifications set forth herein.

6. NOTICES

All notices required or permitted under this Addendum shall be in writing and shall be delivered to the addresses set forth below or to such other address as a Party may designate by written notice to the other Party in accordance with this Section.

7. AMENDMENT; WAIVER

No amendment, modification, or waiver of any provision of this Addendum shall be effective unless made in writing and signed by both Parties. No waiver of any breach shall constitute a waiver of any subsequent breach.

8. COUNTERPARTS; ELECTRONIC SIGNATURES

This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one document. Signatures delivered by electronic means (including electronic signature platforms or scanned signatures) shall be effective to bind the Party executing in such manner.

9. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

9.1 Governing Law: This Addendum and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

9.2 Severability: If any provision of this Addendum is held to be illegal, invalid or unenforceable, the remaining provisions shall remain in full force and effect.
