LEGAL CONTRACT ADDENDUM TEMPLATE

This Addendum is made and entered into as of (the "Addendum Effective Date"), by and between First Party: and Second Party: . The First Party and Second Party are collectively referred to herein as the "Parties" and individually as a "Party."

Recitals

WHEREAS, the Parties entered into an agreement titled dated (the "Original Agreement");

WHEREAS, the Parties desire to amend and modify certain terms of the Original Agreement as set forth in this Addendum in order to reflect their mutual understanding and agreement;

WHEREAS, capitalized terms used but not defined herein shall have the meanings assigned to them in the Original Agreement unless otherwise defined in this Addendum.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. Definitions

1.1. Unless otherwise defined in this Addendum, capitalized terms used herein shall have the meanings ascribed to them in the Original Agreement. In the event of any inconsistency between this Addendum and the Original Agreement, the terms of this Addendum shall govern solely with respect to the subject matter hereof.

2. Effective Date; Term

2.1. This Addendum shall become effective on the Addendum Effective Date and shall continue in effect for the duration specified in the Original Agreement, except as expressly modified herein, or until earlier terminated in accordance with the termination provisions of the Original Agreement as amended by this Addendum.

3. Amendments to the Original Agreement

3.1. The Original Agreement is hereby amended as follows. Each item below replaces, modifies, or supplements the corresponding provision of the Original Agreement as specifically stated.

4. Consideration

4.1. The Parties agree that the mutual promises and covenants contained in this Addendum constitute good and sufficient consideration for the modifications set forth herein. Where monetary consideration is required by the amendments above, the Parties shall pay or receive the amounts set forth in Amendment 2, and any late payments shall bear interest as provided in the Original Agreement unless otherwise specified herein.

5. Incorporation; No Other Modification

5.1. Except as expressly modified by this Addendum, all terms and conditions of the Original Agreement remain in full force and effect and are hereby ratified and confirmed. This Addendum shall form part of the Original Agreement and shall be read together with it.

6. Representations and Warranties

6.1. Each Party represents and warrants to the other that: (a) it is duly organized, validly existing and in good standing under the laws of its jurisdiction of formation; (b) it has full power and authority to enter into and perform its obligations under this Addendum; and (c) the execution and delivery of this Addendum and the performance hereof have been duly authorized by all requisite action.

7. Indemnification

7.1. Each Party shall indemnify, defend and hold harmless the other Party from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach by the indemnifying Party of any representation, warranty or covenant contained in this Addendum or the Original Agreement as amended hereby.

8. Confidentiality

8.1. All provisions of the Original Agreement regarding confidentiality shall remain in full force and effect and shall apply to any information exchanged pursuant to this Addendum. Neither Party shall disclose Confidential Information except as permitted in the Original Agreement or as required by law, subject to prior notice to the other Party where legally permissible.

9. Notices

9.1. All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and shall be delivered to the addresses set forth below or to such other address as a Party may designate by notice to the other in accordance with this Section.

10. Governing Law; Venue

10.1. This Addendum shall be governed by and construed in accordance with the substantive laws of the jurisdiction specified below without regard to principles of conflicts of law.

11. Entire Agreement; Severability

11.1. This Addendum, together with the Original Agreement as modified hereby, constitutes the entire agreement and understanding of the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, representations and understandings, whether written or oral, between the Parties relating to such subject matter.

11.2. If any provision of this Addendum is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

12. Amendments; Waiver; Counterparts

12.1. No amendment, modification or waiver of any provision of this Addendum shall be effective unless set forth in a written instrument signed by the Party against whom enforcement of such amendment, modification or waiver is sought.

12.2. No failure or delay by either Party in exercising any right under this Addendum shall operate as a waiver of that right. A waiver of any provision hereof shall be effective only if in writing and signed by the Party granting the waiver.

12.3. This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile, electronic image or other electronic means shall be deemed originals for all purposes.

13. Execution

13.1. Each signatory below represents and warrants that he or she is duly authorized to execute and deliver this Addendum on behalf of the Party for which he or she signs and that this Addendum is binding upon such Party in accordance with its terms.
