What a Legal Contract Approval Request Is and When it’s Used

A Legal Contract Approval Request is a formal internal document used to route proposed contracts through review and sign-off before execution. It captures the contract summary, key terms, requested approval level, required attachments, and the routing path for legal, finance, procurement, and executive approvers. Organizations use this request to centralize review, document approval decisions, record reviewer questions, and preserve an audit trail that supports later enforcement or audits. Properly completed requests reduce rework, clarify responsibilities, and show a defensible decision history for each agreement.

Why a Structured Approval Request Matters for Contract Risk Control

A standardized approval request ensures consistency across contracts, makes risk flags visible to reviewers, and documents who approved what and when for compliance and audit purposes.

Why a Structured Approval Request Matters for Contract Risk Control

People and Teams That Typically Complete This Request

The Legal Contract Approval Request is completed by personnel who prepare, review, or approve contracts and by administrative staff who manage contract lifecycle processes.

  • Legal and compliance teams responsible for legal risk review and clause approval.
  • Procurement and purchasing teams handling supplier terms and commercial approvals.
  • Finance and accounting teams verifying payment terms, budgets, and tax treatment.

Clear role assignment on the request reduces approval delays and ensures the correct internal stakeholders are alerted and accountable.

Core Components Every Approval Request Should Include

A professional request captures standard metadata and the substantive contract highlights so reviewers can make fast, informed decisions without hunting for attachments.

Contract Summary

One-paragraph description of the contract purpose and scope for quick reviewer orientation.

Monetary Terms

Value, payment schedule, currency, and any milestones or retainers tied to payment.

Key Dates

Effective date, term, renewal windows, and notice deadlines that affect obligations.

Risk Flags

Confidentiality, indemnity, IP assignment, limitation of liability, and insurance requirements.

Attachments

Draft contract, SOW, pricing spreadsheet, vendor certificate, and redlines if any.

Approval Routing

Required approvers, delegated authority levels, and escalation path for missing approvals.

Step-by-Step: Submitting a Contract Approval Request

Follow these sequential steps to prepare and submit the request so reviewers have the context they need to approve or escalate efficiently.

  • 01
Prepare materials: Gather draft contract, SOW, and related exhibits before opening the form.
  • 02
Complete fields: Enter metadata, financial terms, and risk flags using required formats.
  • 03
Attach documents: Upload the signed draft, redlines, and supporting worksheets as PDFs.
  • 04
Route for approval: Select approvers in the required order and submit for review.

Configuring an Online Approval Workflow

Set up consistent routing and authentication so the online request enforces your internal controls and produces an auditable trail.

Field Configuration
Template Create a reusable request template with required fields and attachments.
Routing Order Assign sequential or parallel reviewers depending on policy.
Authentication Enable email verification, SMS code, or stronger MFA for sensitive approvals.
Reminders Set automatic reminders and an expiration for stale requests.

Technical Considerations for eSubmission and Integration

Choose a platform that supports secure eSigning, audit trails, and the integrations your teams use.

  • Integrations: Salesforce, NetSuite, Microsoft 365, Google Workspace supported.
  • Document formats: PDF and DOCX import/export with preserved field data.
  • Authentication: Email, SMS, KBA, or enterprise SSO for stronger signer identity.

Where the Approval Request Goes and What Happens Next

Understanding the routing lifecycle helps you anticipate reviewer actions and expected artifacts at each step.

  • Sender uploads: Initiator uploads the draft and completes request fields for context.
  • Legal review: Legal checks clauses, flags risks, and requests redlines or approvals.
  • Finance review: Finance confirms pricing, payment terms, and budget availability.
  • Final approval: Authorized signer executes contract and system stores final signed PDF.

Typical Timelines and Deadlines to Expect

Set internal deadlines for each review stage and communicate escalation rules to prevent missed windows that delay contract execution.

Request submission deadline:

Submit at least 10 business days before the required start date for standard reviews.

Legal review target:

Allow 3–5 business days for standard legal review; longer for high-risk matters.

Finance approval target:

Allow 2–3 business days for budget and payment verification.

Executive sign-off:

Allow up to 7 business days for executive-level approvals and scheduling.

Execution window:

Plan for an overall 10–21 business day cycle for typical commercial contracts.

Key Milestones from Request to Executed Contract

A clear milestone timeline helps teams measure cycle time and identify bottlenecks for process improvement.

01

Request Submitted

Initiator files the request with attachments and required metadata.

02

Initial Review

Legal and procurement review for terms, risk, and completeness.

03

Negotiation / Redlines

Counterparty changes are negotiated and integrated into the draft.

04

Final Execution

Authorized signer executes; final PDF and audit trail are archived.

Common Preparation Errors to Avoid

  • Missing attachments force reviewers to pause; always attach the full draft, redlines, and scope-of-work to prevent back-and-forth.
  • Vague monetary terms lead to negotiation; specify amounts, payment schedule, currency, and invoicing requirements upfront.
  • Incorrect signer authority causes voidable approvals; verify delegated signing authority against your organization’s delegation of authority policy.
  • Improperly formatted dates or inconsistent party names result in payment and enforceability issues; use consistent MM/DD/YYYY and legal entity names.

Key Legal and Operational Risks When a Request Is Incorrect

Contract delays: Missed start dates and business disruption.
Financial exposure: Unexpected liability or payment obligations.
Noncompliance: Violations of internal policy or regulatory rules.
Tax penalties: Backup withholding or reporting penalties possible.
Enforceability issues: Ambiguous signatures or authority can void obligations.
Audit findings: Incomplete audit trails may trigger regulatory scrutiny.

Mandatory Data Fields and Security Metadata

Requester: Name, department, and contact
Counterparty: Legal entity and primary contact
Effective Date: MM/DD/YYYY format
Contract Value: Total monetary amount
Approval Level: Required approver or tier
Attachments: Drafts, SOWs, redlines

Practical Tips to Make Requests Faster and More Reliable

Apply these practices to reduce review cycles and create a defensible approval history for each contract.

Use a standard template
Standardized templates reduce omissions and make it easier for reviewers to find key terms quickly, which shortens approval cycles and reduces approval-related disputes.
Attach concise summaries
Provide a one-page executive summary and a redline alongside the draft so reviewers can assess change impact without re-reading the full contract.
Record approval rationale
Capture short reviewer notes explaining material concessions or risks accepted to create a clear record for later audit or dispute resolution.
Use role-based routing
Assign approvers by approval tier to avoid bypassing required reviews and to ensure the document reaches the appropriate authority before execution.
