2. Authority and Capacity

2.1 Each party represents and warrants that it is duly organized and validly existing and in good standing under the laws of the jurisdiction of its organization and has full corporate or other power and authority to enter into, deliver and perform the Underlying Contract and this Certificate.

4.1 This Certificate is delivered for the purpose of inducing reliance by any person or entity reasonably entitled to rely on the execution and authority represented herein, including lenders, purchasers, successors and assigns. Any such person or entity may rely conclusively on the representations and certifications in this Certificate as to the matters stated herein.

5.1 The parties authorize the filing or recording of this Certificate in any public or private records deemed appropriate by the party seeking such recordation and acknowledge that a certified copy of the Underlying Contract and related documents may be attached to this Certificate for such purposes.
