Neither Party may assign or delegate its rights or obligations under the primary agreement except with the prior written consent of the other Party, which consent shall not be unreasonably withheld, except as otherwise permitted under the primary agreement.

All notices required or permitted under the primary agreement shall be given in writing to the Parties' designated contacts set forth below and shall be effective in accordance with the notice provisions of the primary agreement.

11. Amendments and Waiver

This Cover Sheet and the primary agreement may be amended only by a written instrument executed by authorized representatives of both Parties. Failure to enforce any provision shall not constitute a waiver of that provision unless set forth in a signed writing.

12. Governing Law

This Cover Sheet and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of the jurisdiction specified in the primary agreement; if no jurisdiction is specified, the laws of the Parties' chosen governing jurisdiction shall apply.

13. Entire Agreement

This Cover Sheet, together with the primary agreement and any exhibits identified herein, constitutes the entire administrative understanding between the Parties with respect to the matters addressed herein and supersedes any prior administrative memoranda or summaries concerning such matters.

14. Severability

If any provision of this Cover Sheet is held invalid or unenforceable, such provision shall be deemed severed and the remaining provisions shall continue in full force and effect to the extent permitted by law.

15. Counterparts

This Cover Sheet may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic means shall be binding to the same extent as original signatures.
