1. DEFINITIONS

In this Agreement, unless the context otherwise requires: "Participating Party" means the party identified as Participating Party Name; "Contracting Party" means the party identified as Contracting Party Name; "Confidential Information" means information described in Section 4. Terms defined in the Principal Agreement shall have the same meaning hereunless expressly stated otherwise in this Agreement.

2. SCOPE OF PARTICIPATION

The Participating Party further represents that it has the requisite skill, personnel, permits and licenses necessary to perform the Scope of Work and will perform in a professional and workmanlike manner consistent with industry standards.

4. CONFIDENTIALITY

4.1 Confidential Information. Each party may disclose certain Confidential Information to the other. Confidential Information shall include proprietary business information, technical data, trade secrets, pricing, and other information reasonably understood to be confidential.

4.2 Obligation. A receiving party shall (a) hold Confidential Information in strict confidence, (b) not use Confidential Information except to perform its obligations under this Agreement, and (c) not disclose Confidential Information to any third party except as expressly permitted herein or required by law.

4.3 Exceptions. Confidential Information shall not include information that is or becomes publicly known through no breach of this Agreement, was known to the receiving party prior to disclosure, or is rightfully received from a third party without restriction.

5. COMPENSATION

5.1 Payment. In consideration for the services performed by the Participating Party, the Contracting Party shall pay the Participating Party the amount: subject to the payment schedule and invoicing requirements set forth below.

7. INDEMNIFICATION

The Participating Party shall indemnify, defend and hold harmless the Contracting Party and its officers, directors and employees from and against any third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) to the extent arising out of or resulting from the Participating Party's negligent acts, willful misconduct, or material breach of this Agreement.

8. LIMITATION OF LIABILITY

Neither party shall be liable to the other for consequential, incidental, special, indirect or punitive damages, including loss of profits, except for liabilities arising from willful misconduct, gross negligence, or the indemnification obligations set forth in this Agreement. The aggregate liability of either party for direct damages arising out of or related to this Agreement shall not exceed the total amount paid or payable to the Participating Party under this Agreement during the twelve (12) months preceding the claim.

9. ASSIGNMENT

Neither party may assign or transfer this Agreement or any of its rights or obligations hereunder without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition or sale of substantially all of its assets, provided that the assignee assumes all obligations of the assignor under this Agreement.

10. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and sent to the addresses specified below. Notices shall be deemed given when delivered personally, sent by certified mail, or sent by nationally recognized overnight courier.

11. AMENDMENTS; WAIVER

Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties. No waiver of any breach shall be effective unless in writing and signed by the party granting the waiver.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws selected by the parties: without regard to conflict of law principles.

13. ENTIRE AGREEMENT

This Agreement, together with any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

14. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and shall be construed so as to give effect to the parties' intent to the greatest extent permitted by law.

15. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or electronic image shall be deemed original signatures for all purposes.
