NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, capitalized terms not otherwise defined have the following meanings: "Applicable Law" means all statutes, regulations, ordinances, rules, administrative orders and binding interpretations issued by competent authorities; "Records" means all books, accounts, receipts, reports and other documentary evidence relevant to the Regulated Party's compliance with this Agreement and Applicable Law.

2. SCOPE OF REGULATION

The Regulated Party agrees to conform its operations, reporting and recordkeeping to the standards set forth by the Regulatory Counterparty as specified below. Primary regulatory authority or standard:

The Regulated Party represents and warrants that it shall: (a) maintain policies and procedures reasonably designed to ensure compliance with Applicable Law; (b) designate responsible compliance personnel; and (c) promptly correct any identified noncompliance. Audits shall be conducted in a manner that minimizes disruption to the Regulated Party's operations and shall be subject to reasonable confidentiality protections.

6. BREACH NOTIFICATION AND CORRECTIVE ACTION

The Regulated Party shall notify the Regulatory Counterparty of any event or circumstance that materially impairs compliance no later than business days after discovery. Upon notice or discovery of noncompliance, the Regulated Party shall immediately initiate corrective actions and provide a written remediation plan within a commercially reasonable time.

7. REMEDIES, ENFORCEMENT AND INDEMNIFICATION

If the Regulated Party fails to cure material noncompliance within the period specified by the Regulatory Counterparty, the Regulatory Counterparty may impose administrative remedies reasonably related to the violation, including suspension of activities, additional reporting, or monetary penalties to the extent authorized by Applicable Law. The Regulated Party shall indemnify and hold harmless the Regulatory Counterparty and its officers, agents and employees from any third-party claims, liabilities, losses or expenses directly resulting from the Regulated Party's breach of this Agreement, provided that the indemnity obligation shall be limited to: .

8. LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, neither party shall be liable to the other for special, incidental or consequential damages. The parties agree that any monetary recovery for ordinary breaches shall be limited to direct, proven damages and subject to any limits set forth elsewhere in this Agreement.

9. CONFIDENTIALITY

All information disclosed in connection with audits, reports or regulatory reviews that is designated confidential or that by its nature is confidential shall be treated as Confidential Information. Confidential Information shall not be disclosed except as required by Applicable Law, judicial process, or as necessary for enforcement of this Agreement; the receiving party shall provide prompt notice to allow the disclosing party to seek protective measures.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below, and shall be effective upon receipt when delivered by hand, three business days after deposit in certified mail, return receipt requested, or one business day after delivery by an overnight courier service.

11. AMENDMENTS, WAIVER AND COUNTERPARTS

No amendment to this Agreement shall be effective unless in writing and signed by duly authorized representatives of both parties. Failure to enforce any provision shall not constitute waiver of future enforcement. This Agreement may be executed in counterparts, each of which is an original and all of which constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to choice-of-law principles. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior written and oral agreements. If any provision of this Agreement is held invalid or unenforceable, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect.

If any party is required to incur attorneys' fees or other costs to enforce this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs. All parties shall cooperate to implement the terms of this Agreement and to promptly execute any documents reasonably required to effectuate the provisions herein.
