4. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that: (a) it has full power and authority to enter into this Request; (b) execution and delivery of this Request and the performance of its obligations hereunder have been duly authorized by all necessary corporate or other action; and (c) this Request constitutes a valid and binding obligation enforceable against it in accordance with its terms.

5. EFFECT OF RELEASE

Upon satisfaction of the Conditions to Release, Contracting Party shall execute and deliver a written Release instrument identifying the Contract, the scope of release, and the Effective Date of such release. Except as expressly set forth in the Release instrument, all other rights, obligations and remedies under the Contract shall remain in full force and effect.

6. NO IMPLIED WAIVER

Except as expressly provided in a fully executed Release instrument, nothing in this Request shall be construed as a waiver, novation or discharge of any rights or claims each party may have under the Contract or at law, nor shall a grant of release operate retroactively to extinguish accrued rights unless expressly stated.

7. CONFIDENTIALITY

The parties agree that the terms and existence of this Request and any Release instrument may be treated as confidential and will not be disclosed except as required by law, to professional advisors, or as necessary to effectuate the terms hereof. Parties shall use commercially reasonable efforts to maintain confidentiality.

All notices required or permitted under this Request must be in writing and delivered to the addresses below by hand, nationally recognized overnight courier, or certified mail, return receipt requested:

This Request may not be amended except by a written instrument executed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude any other or further exercise thereof.
