2.1 Request: The Requesting Party hereby requests and the Counterparty agrees to cooperate in effectuating Removal of the Contract identified above from all specified records and systems to the extent permitted by law and subject to the terms of this Form.

2.2 Scope Details: The Removal shall include the following actions where applicable: termination of active obligations under the Contract, withdrawal of any filings, cancellation of encumbrances, and deletion of the Contract from internal electronic or physical registries. 4. RELEASE, INDEMNITY AND LIMITATION OF LIABILITY

4.1 Release: Subject to Section 5 below, upon Effective Removal Date, each Party hereby irrevocably releases and discharges the other Party from all claims, causes of action, obligations and liabilities arising directly from the Contract, whether known or unknown, existing as of the Effective Removal Date, except for obligations expressly preserved in this Form.

4.2 Indemnity: The Requesting Party shall indemnify, defend and hold harmless the Counterparty from and against any third-party claims arising from misrepresentations made by the Requesting Party in connection with this Form, provided that the Counterparty provides prompt written notice of such claim and cooperates in the defense.

5. CONSIDERATION
