Pre-existing materials and background intellectual property remain the sole property of the originating party and are licensed on a non-exclusive, non-transferable basis as necessary to use the deliverables.

7. REPRESENTATIONS, WARRANTIES & INDEMNIFICATION

Each party represents that it has the full power and authority to enter into this Summary and to perform its obligations. Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims arising out of a breach of the indemnifying party's representations, warranties, or obligations under the Underlying Contracts, subject to the limitations in Section 8.

8. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breaches of confidentiality or intellectual property ownership, each party's aggregate liability to the other for all claims arising out of or relating to the Underlying Contracts shall not exceed the total amounts paid or payable under the applicable Underlying Contract in the twelve (12) months preceding the event giving rise to the claim.

All notices under this Summary shall be in writing and delivered to the addresses above by hand, nationally recognized courier, or certified mail (return receipt requested), and shall be deemed given upon receipt.

10. AMENDMENTS, WAIVER & COUNTERPARTS

No waiver of any right shall be effective unless in writing and signed by the party granting the waiver.
