LEGAL COST AGREEMENT

This Legal Cost Agreement (the Agreement) is made and entered into on by and between Counsel Name: (Counsel), with principal office at and Client Name: (Client), with residence or principal place of business at .

RECITALS

WHEREAS, Client has retained or intends to retain Counsel to represent Client in legal matters identified in Section 1 below; and

WHEREAS, Counsel will, in the course of representation, incur costs, expenses and disbursements (Costs) payable on behalf of or charged to Client; and

WHEREAS, the parties desire to set forth their agreement regarding responsibility for, payment of, and security for such Costs.

NOW THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the parties agree as follows:

1. SCOPE OF COSTS AND SERVICES

1.1 Services. Counsel will provide legal services reasonably necessary for the matter described as:

"Costs" include, without limitation, filing fees, court costs, process service, deposition and transcript fees, expert and consultant fees, investigative fees, travel, courier and messenger services, postage, copying and long-distance communications, court reporter fees, electronic discovery costs, and other disbursements reasonably incurred for the benefit of Client.

2. RETAINER; TRUST ACCOUNT; ADVANCES

2.1 Retainer. Client shall pay an initial retainer in the amount of which shall be deposited into Counsel's attorney trust account. Counsel may draw against the trust account for Costs and fees in accordance with applicable rules.

2.2 Replenishment. Client shall promptly replenish the retainer upon request when funds are expended for Costs or fees. Failure to replenish shall entitle Counsel to suspend work after reasonable notice and to exercise any lien or setoff rights described in this Agreement.

3. FEE AND COST ARRANGEMENT

3.1 Application of Payments. Payments received shall be applied first to Costs unless otherwise agreed in writing. Counsel will provide itemized statements showing application of payments, Costs incurred, and balances.

4. BILLING; PAYMENT; INTEREST

4.1 Billing. Counsel will render statements for Costs and fees periodically. Client shall pay all amounts invoiced within days of the invoice date.

4.2 Interest and Collection. Amounts unpaid when due shall accrue interest at the rate of or the maximum lawful rate, whichever is less. Client shall be responsible for costs of collection, including reasonable attorneys' fees and court costs.

5. DISBURSEMENTS; THIRD-PARTY COSTS

5.1 Counsel may, at Counsel's discretion or with Client's consent, incur or advance Costs on Client's behalf. Counsel shall use reasonable efforts to obtain Client approval for substantial expenditures in advance.

6. SECURITY; ATTORNEY'S LIEN

6.1 Security. To secure Client's obligation to pay Costs, Client grants Counsel a charging lien and retains a consensual security interest in any proceeds of litigation, settlement, judgment, or recovery (Recovery). Counsel may retain funds in Counsel's possession to satisfy outstanding Costs and fees.

6.2 Withholding. Counsel is authorized to withhold disbursement of Recovery reasonably necessary to pay outstanding Costs and fees until such amounts are paid or a court orders otherwise.

7. TERMINATION

7.1 Either party may terminate Counsel's services upon written notice. Termination does not relieve Client of the obligation to pay Costs incurred prior to termination and reasonable wind-down charges incurred by Counsel.

7.2 Upon termination, Counsel will provide a final accounting of Costs and will return any unused portion of the retainer held in trust after applying Costs and fees.

8. RECORDS; ACCESS

Counsel shall maintain contemporaneous billing records and records of disbursements. Upon reasonable request, Client may inspect or receive copies of such records, subject to Counsel's retention policy and redaction of privileged material.

9. CONFIDENTIALITY

Counsel will treat information received from Client in connection with the representation as confidential to the extent required by applicable rules of professional conduct, subject to exceptions for disclosure required by law or as necessary to enforce this Agreement.

10. NOTICES

Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses provided below or to such other address as a party may designate by written notice in accordance with this Section.

11. MISCELLANEOUS

11.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to its choice-of-law provisions.

11.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties concerning Counsel's security for and Client's obligation to pay Costs, and supersedes all prior understandings and agreements, whether written or oral, relating thereto.

11.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.4 Amendments; Waiver. No amendment to this Agreement shall be effective unless in writing and signed by both parties. No waiver of any breach shall be deemed a waiver of any other or subsequent breach.

11.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

By signing below, Client acknowledges receipt of this Agreement, grants Counsel the liens and security interests set forth herein, and agrees to the terms and conditions regarding Costs, retainer handling, and payment obligations.
