LEGAL COUNSEL SIGNATURE PAGE

This Legal Counsel Signature Page (the "Signature Page") is made as of , by and between Client Name: and Counterparty Name: (each a "Party" and collectively the "Parties"), through the undersigned legal counsel.

RECITALS

WHEREAS, the Parties entered into that certain agreement identified as dated (the "Underlying Agreement");

WHEREAS, the Parties desire to record and confirm the representations, authorizations and notifications of counsel with respect to the Underlying Agreement and related instruments; and

WHEREAS, the undersigned counsel acknowledges that the signatures set forth on this Signature Page are given in a representative capacity on behalf of their respective clients and that counsel has reviewed the Underlying Agreement and is authorized to execute this instrument.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties and their counsel agree as follows:

1. COUNSEL CERTIFICATION

Each undersigned counsel hereby certifies that they represent the Party on whose behalf they sign, that they have made reasonable inquiry and review of the corporate, partnership or other organizational authorizations required for execution and delivery of the Underlying Agreement and this Signature Page, and that, to the best of their knowledge, the execution, delivery and performance by their client of the Underlying Agreement and this Signature Page have been duly authorized and will be binding upon their client in accordance with its terms.

2. AUTHORITY TO BIND

Counsel attest that the signature delivered by counsel on behalf of their client is intended to bind the client to the obligations set forth in the Underlying Agreement and that no further corporate, board, partner or other approval is required for such binding effect except as disclosed in writing to the other Party prior to execution. Counsel further affirm that they have the authority to execute this Signature Page on behalf of their client.

3. COUNSEL ACKNOWLEDGMENT OF TERMS

Counsel acknowledge that they have read the Underlying Agreement, are aware of their client's obligations and rights thereunder, and have advised their client regarding the legal consequences of executing the Underlying Agreement and this Signature Page. Counsel further acknowledge that they have the authority to receive notices and communications concerning interpretation and enforcement matters on behalf of their client as expressly provided herein.

Any notices required or permitted under this Signature Page shall be given to counsel at the contact information set forth above and shall be effective upon receipt by counsel in accordance with the notice provisions of the Underlying Agreement.

7. GOVERNING LAW

This Signature Page shall be governed by and construed in accordance with the laws of the State of without regard to its choice of law principles.

8. ENTIRE AGREEMENT

This Signature Page, together with the Underlying Agreement, constitutes the entire agreement among the Parties and their counsel with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral, relating to such subject matter.

9. SEVERABILITY

If any provision of this Signature Page is held to be invalid or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

10. COUNTERPARTS; ELECTRONIC SIGNATURES

This Signature Page may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. A signature transmitted by electronic means (including facsimile or electronic image) shall be valid and binding for all purposes.
