Each party represents and warrants to the other that: (a) it has full power and authority to enter into and perform this Counteroffer; (b) the execution and delivery of this Counteroffer has been duly authorized by all necessary action; and (c) when executed and delivered by the accepting party in accordance with Section 2, this Counteroffer will constitute a valid and binding obligation enforceable in accordance with its terms.

5. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Counteroffer shall be effective unless in writing and signed by the party against whom enforcement is sought. A waiver of any breach shall not constitute a waiver of any other or subsequent breach.

6. NOTICES

All notices, demands, or communications required or permitted under this Counteroffer shall be in writing and shall be delivered by hand, sent by nationally recognized overnight courier, or mailed by certified mail, return receipt requested, to the addresses specified below or such other address as a party designates in writing.

7. COUNTERPARTS

This Counteroffer may be executed in any number of counterparts, each of which when executed and delivered shall be an original, and all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic transmission shall be effective as delivery of an original.

8. GOVERNING LAW
