All documents and information delivered under this Cover Note that are identified as confidential or that a reasonable person would understand to be confidential shall be treated as Confidential Information. Recipient shall not disclose such Confidential Information except as required by law or with Sender's prior written consent.

4.2 Limited Use. Recipient shall use Confidential Information solely for the Matter and shall implement reasonable measures to prevent unauthorized disclosure, consistent with industry standards for the protection of similar materials.

5. REPRESENTATIONS, WARRANTIES AND INDEMNITY

5.1 Representations. Sender represents that, to Sender's knowledge, the enclosed documents are genuine and accurate copies of the materials intended for delivery, unless otherwise stated in writing.

5.2 Warranty Disclaimer. Except as expressly stated in writing, Sender makes no representation or warranty, express or implied, regarding the merchantability, fitness for a particular purpose, or completeness of the enclosed materials.

5.3 Indemnity. Recipient agrees to indemnify, defend and hold harmless Sender from and against any and all losses, liabilities, costs and expenses arising from Recipient's unauthorized use or disclosure of the enclosed materials or from Recipient's failure to follow written instructions provided by Sender.

6. NOTICES

6.1 Method. Any notice or communication required or permitted under this Cover Note shall be in writing and delivered by hand, courier, or registered mail, or by electronic mail where receipt is acknowledged, to the address or attention specified on the first page of this Cover Note.

7. AMENDMENTS, WAIVER, COUNTERPARTS

7.1 Amendments. No amendment to this Cover Note shall be effective unless in a writing signed by authorized representatives of both parties.

7.2 Waiver. The failure of either party to enforce any provision of this Cover Note shall not constitute a waiver of that party's right to enforce the provision in the future.

7.3 Counterparts. This Cover Note may be executed in any number of counterparts, each of which when executed and delivered shall be an original, but all counterparts together shall constitute one and the same instrument.
