2. ATTACHMENTS AND EXHIBITS

2.1 Attachment Identification. Each Attached Document shall be labeled as an Exhibit or Schedule where applicable and shall be deemed incorporated by reference into this Coversheet solely for administrative identification.

3. CONFIDENTIALITY AND PRIVILEGE

3.2 Privilege Preservation. 4. REPRESENTATIONS; AUTHORITY

4.1 Each party represents and warrants that the person signing below has the full right, power and authority to execute and deliver this Coversheet and to bind the party to the statements and acknowledgements contained herein.

5. NOTICES

5.1 All notices, requests, consents and other communications required or permitted under this Coversheet shall be in writing and delivered to the addresses designated below.

6. MISCELLANEOUS PROVISIONS

Governing Law. This Coversheet shall be governed by and construed in accordance with the laws of the jurisdiction specified: , without regard to conflicts of law principles.

Entire Agreement. This Coversheet constitutes the entire administrative agreement between the parties with respect to the identification and handling of the Attached Documents and supersedes any prior administrative coversheets or transmittal memos regarding the same.

Counterparts. This Coversheet may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument. Facsimile or electronic signatures shall be deemed originals for all purposes.

7. CERTIFICATIONS

Each signatory below certifies and warrants that (a) the signatory is authorized to bind the party for which the signatory signs; (b) the information set forth on this Coversheet is true, complete and correct to the best of the signatory's knowledge; and (c) the delivery of the Attached Documents accompanying this Coversheet is made in accordance with applicable law and the parties' agreements.
