LEGAL CRA AUTHORIZATION FORM

This Legal CRA Authorization ("Authorization") is entered into by and between Client Name: (the "Client") and Authorized Party Name: (the "Authorized Party") on the Effective Date: .

RECITALS

WHEREAS, the Client has engaged the Authorized Party to provide legal services in connection with Matter Description: ; and

WHEREAS, the Authorized Party requires access to consumer report information maintained by consumer reporting agencies and other third-party data sources in order to evaluate, prosecute, defend, negotiate, or otherwise manage the Client's matter; and

WHEREAS, the Client is willing to provide written authorization for the Authorized Party and the identified third parties to obtain, receive, and use such information for the limited purposes set forth below.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. AUTHORIZATION

The Client hereby authorizes and directs any consumer reporting agency, credit bureau, employer, financial institution, public agency, and other third-party data source to disclose to the Authorized Party and its agents any and all consumer reports, investigative consumer reports, credit histories, credit scores, public records, and related information concerning the Client (collectively, "CRA Information"). This authorization includes the release of CRA Information whether maintained in paper, electronic, or other form and authorizes the Authorized Party to obtain CRA Information for the Purpose of:

3. DURATION AND REVOCATION

This Authorization shall commence on Start Date: and shall remain in effect until End Date: , or until revoked in writing by the Client. Notwithstanding any revocation, the Authorized Party may retain and continue to use CRA Information obtained prior to receipt of a valid revocation for purposes consistent with this Authorization and applicable law.

To revoke this Authorization, the Client must provide written notice to the Authorized Party at the Notices address below. The Authorized Party shall have a reasonable opportunity to act on any revocation.

The Authorized Party will maintain reasonable safeguards to protect CRA Information from unauthorized disclosure consistent with professional obligations and applicable law.

6. REPRESENTATIONS, WARRANTIES AND CERTIFICATION

The Client represents and warrants that the information provided in this Authorization is true and correct, that the Client is the subject of the CRA Information to be obtained or otherwise has authority to authorize the release of such information, and that the Client's consent herein is freely given. The Client certifies that this Authorization is being executed for a permissible purpose and authorizes the Authorized Party to act on the Client's behalf with respect to requests for CRA Information.

7. INDEMNIFICATION

To the fullest extent permitted by law, the Client shall indemnify, defend and hold harmless the Authorized Party and its agents from and against any claims, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from the Client's breach of this Authorization or from any false or misleading representations made by the Client, provided that such indemnity shall not apply to acts of gross negligence or willful misconduct by the Authorized Party.

8. NOTICES

All notices under this Authorization must be in writing and shall be deemed delivered when personally delivered, sent by nationally recognized overnight courier, or three (3) business days after deposit in the U.S. mail, postage prepaid, to the addresses set forth above or such other address as a party may designate by notice.

9. AMENDMENT; WAIVER; COUNTERPARTS

This Authorization may be amended or modified only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party against whom enforcement is sought. This Authorization may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Authorization shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. This Authorization constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements and understandings. If any provision of this Authorization is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
