LEGAL CRA RENEWAL FORM

Client and CRA are each a "Party" and collectively the "Parties."

RECITALS

WHEREAS, Client and CRA are parties to an existing Services Agreement dated Original Agreement Date: under which CRA provides credit reporting, data processing, and related services to Client; and

WHEREAS, the Parties desire to renew the Services Agreement on the terms and conditions set forth herein and to memorialize certain updated compliance, security, pricing and audit provisions; and

WHEREAS, the Parties intend for this Renewal to modify and extend the Term of the Services Agreement without creating a new, standalone agreement except as expressly specified herein.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the Parties agree as follows:

1. RENEWAL TERM

1.1 Renewal Period. The Term of the Services Agreement is hereby renewed for a period of Renewal Term (months): months commencing on Renewal Commencement Date: and terminating on Renewal Termination Date: , unless earlier terminated in accordance with Section 11 (Termination).

4. COMPLIANCE WITH LAW AND REGULATIONS

4.1 Regulatory Compliance. Each Party shall comply with all applicable laws, rules and regulations governing the collection, use, dissemination and security of consumer information. CRA shall maintain procedures required by applicable regulatory standards for accuracy, dispute resolution, and record retention.

4.2 Certifications. CRA certifies that, to its knowledge, the services provided under this Renewal will be performed in material compliance with applicable legal obligations and industry standards as of the Effective Date.

5. DATA SECURITY AND CONFIDENTIALITY

5.1 Security Measures. CRA shall implement and maintain administrative, technical and physical safeguards appropriate to the sensitivity of the data to protect against unauthorized access, disclosure, alteration or destruction. A summary of material security controls and any changes thereto shall be provided upon Client request consistent with confidentiality obligations.

5.2 Confidential Information. Each Party agrees to hold confidential and not disclose the other Party's Confidential Information except as required for performance of the Services or as compelled by law. Confidential Information does not include information that is publicly known without breach by the receiving Party.

6. AUDIT RIGHTS

6.1 Audit and Inspection. Client shall have the right, upon reasonable prior written notice and during normal business hours, to audit CRA's compliance with data handling, security and regulatory obligations no more than Audit Frequency (per year): time(s) per 12-month period. Any audits shall be conducted in a manner that does not unreasonably interfere with CRA's operations.

7. INDEMNIFICATION; LIMITATION OF LIABILITY

7.1 Indemnification. Each Party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other Party (the "Indemnified Party") from and against third-party claims arising out of the Indemnifying Party's breach of this Renewal, gross negligence, willful misconduct, or violation of applicable law, subject to the limitations and procedures set forth in the Services Agreement.

7.2 Limitation of Liability. Except for liability arising from willful misconduct, gross negligence, breaches of confidentiality or indemnification obligations, neither Party shall be liable for incidental, consequential or punitive damages. The Parties' aggregate liability for claims arising out of this Renewal shall be limited to an amount equal to the greater of the fees paid by Client to CRA in the preceding 12 months or Minimum Liability Amount: .

8. INSURANCE

CRA shall maintain insurance including commercial general liability, professional liability/errors & omissions, and cyber/privacy liability with limits sufficient for the services performed. CRA shall provide certificates evidencing such coverage upon Client's reasonable written request.

9. NOTICES

9.1 Method. All notices required or permitted under this Renewal shall be in writing and delivered by hand, overnight courier, or registered mail, or by email where an acknowledgement of receipt is practicable, to the addresses set forth below or such other addresses as a Party may designate by notice:

10. AMENDMENT; WAIVER; COUNTERPARTS

10.1 Amendment. This Renewal may be amended or modified only by a written instrument signed by authorized representatives of both Parties.

10.2 Waiver. No failure or delay by either Party in exercising any right shall operate as a waiver of that right. A waiver must be in writing and signed to be effective.

10.3 Counterparts. This Renewal may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

11. TERMINATION

11.1 Termination for Convenience. Either Party may terminate this Renewal for convenience upon Termination Notice Period (days): days' prior written notice to the other Party, subject to applicable termination fees set forth in the Services Agreement.

11.2 Termination for Cause. Either Party may terminate immediately upon written notice if the other Party materially breaches this Renewal and fails to cure such breach within Cure Period (days): days after receipt of written notice.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

12.1 Governing Law. This Renewal shall be governed by and construed in accordance with the laws of Governing Law State: without giving effect to conflict of laws principles.

12.2 Entire Agreement. This Renewal, together with the Services Agreement and any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings.

12.3 Severability. If any provision of this Renewal is held to be invalid or unenforceable, the remainder of this Renewal will remain in full force and effect and the invalid or unenforceable provision will be reformed to the minimum extent necessary to make it enforceable.

13. MISCELLANEOUS

13.1 Assignment. Neither Party may assign its rights or delegate its obligations under this Renewal without the prior written consent of the other Party, except to an affiliated entity or as part of a sale of substantially all of its assets provided that the assignee assumes the assigning Party's obligations in writing.

13.2 Relationship of the Parties. The Parties are independent contractors. Nothing in this Renewal creates a joint venture, partnership, employment or agency relationship.
