LEGAL CREDIT AUTHORIZATION FORM

This Legal Credit Authorization Form (the "Authorization") is made and entered into on by and between Creditor Name: with principal address: ("Creditor"), and Applicant Name: with principal address: ("Applicant").

RECITALS

WHEREAS, Applicant has applied for credit accommodation, goods, or services from Creditor and the Creditor requires authorization to obtain credit information and to verify Applicant information in connection with such application; and

WHEREAS, Applicant acknowledges that Consents and authorizations are required for Creditor to obtain consumer and/or commercial credit reports, employment and income verification, bank references, and trade references for purposes of evaluating creditworthiness and establishing or maintaining a credit relationship; and

WHEREAS, the parties desire to set forth the terms under which Applicant authorizes such inquiries and related actions.

NOW, THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. AUTHORIZATION TO OBTAIN CREDIT INFORMATION

Applicant hereby authorizes Creditor and its agents, affiliates, representatives, contractors and assignees to obtain consumer and/or commercial credit reports, investigative consumer reports, bank references, trade credit references and any other credit or financial information that Creditor deems necessary to evaluate Applicant's creditworthiness, both in connection with the initial application and at any time during the term of any credit relationship.

2. SCOPE OF AUTHORIZATION

The scope of this authorization includes but is not limited to: verification of employment and income; verification of banking relationships and deposit history; obtaining public record information; and contacting trade and vendor references. Applicant authorizes any person, firm, corporation, institution or government agency to release such information to Creditor upon request.

Applicant authorizes Creditor to initiate debits to Applicant's bank account for payment of amounts due under any credit arrangement established with Creditor only if Applicant has affirmatively selected electronic payment below and provided accurate account information.

5. REPRESENTATIONS AND WARRANTIES

Applicant represents and warrants that the information provided to Creditor in connection with the credit application and this Authorization is true, complete and correct. Applicant further warrants that Applicant has the right to provide the information and to authorize the entities named in this Authorization to receive and use such information for the purposes described herein.

6. CONFIDENTIALITY AND USE OF INFORMATION

Creditor shall use information obtained pursuant to this Authorization solely for purposes of evaluating credit, collecting amounts due, managing the credit relationship and complying with applicable law. Creditor shall maintain reasonable administrative, technical and physical safeguards to protect nonpublic personal information in its possession.

7. INDEMNIFICATION

Applicant agrees to indemnify, defend and hold harmless Creditor and its agents from and against any and all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising from Applicant's breach of any representation, warranty or covenant in this Authorization or from Applicant's failure to provide accurate information.

8. NOTICES

All notices required or permitted under this Authorization shall be in writing and shall be deemed given when delivered personally, sent by certified mail, return receipt requested, or by nationally recognized overnight courier, to the addresses set forth in the opening paragraph or to such other address as either party may designate by notice in accordance with this Section.

9. AMENDMENT; WAIVER

No amendment, modification or waiver of any provision of this Authorization shall be effective unless in writing and signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

10. GOVERNING LAW; VENUE

This Authorization shall be governed by and construed in accordance with the substantive laws of the state specified below without regard to conflicts of law principles. Applicant and Creditor agree that any dispute arising under this Authorization shall be brought exclusively in the state or federal courts located in the selected jurisdiction.

11. SEVERABILITY; ENTIRE AGREEMENT

If any provision of this Authorization is held to be invalid or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect. This Authorization constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

12. COUNTERPARTS

This Authorization may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall have the same force and effect as original signatures.

13. ADDITIONAL INFORMATION

Applicant acknowledges receipt of a copy of this Authorization and certifies that the information provided is true and complete. Applicant further acknowledges that Applicant may request a copy of any consumer report obtained pursuant to this Authorization and may notify Creditor in writing to withdraw this authorization, subject to any rights Creditor may have under applicable law to continue to obtain information for purposes of collection or enforcement of obligations.
