RECITALS

WHEREAS, the Requesting Party requires a consumer credit report, investigative consumer report, or related credit information concerning the Consumer for the purpose of credit evaluation, employment screening, tenancy determination, or other lawful purpose described herein; and

WHEREAS, the Consumer desires to provide informed, written authorization permitting the Requesting Party to obtain such reports from consumer reporting agencies and to share such information with designated third parties to the extent permitted by law; and

WHEREAS, the parties wish to set forth the scope, duration, limitations, and legal remedies associated with such authorization.

NOW, THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, receipt of which is hereby acknowledged, the parties agree as follows:

1. Definitions

For purposes of this Consent, "Consumer Report" means any written, oral or other communication of information by a consumer reporting agency bearing on the Consumer's creditworthiness, credit standing, credit capacity, character, general reputation, personal characteristics, or mode of living. "Investigative Consumer Report" means a report in which information is obtained through personal interviews with neighbors, friends, or associates of the Consumer. "Permissible Purpose" shall have the meaning set forth in applicable consumer reporting laws and shall include the specific purposes set forth in Section 3 of this Consent.

The Consumer hereby authorizes and expressly permits the Requesting Party and its agents to obtain Consumer Reports and Investigative Consumer Reports concerning the Consumer from any consumer reporting agency, credit bureau, or similar source. The Consumer acknowledges that such reports may be used for the following Permissible Purposes (select all that apply):

4. Scope and Limitations

The Requesting Party's obtainment, use, and dissemination of Consumer Reports shall be limited to the Permissible Purposes identified in Section 3 and to those persons within the Requesting Party and its affiliates who have a legitimate need to know for such Permissible Purposes. The Requesting Party shall not disclose Consumer Reports to third parties except (a) as required or permitted by law, (b) to those persons expressly authorized by the Consumer in writing, or (c) to service providers performing functions on behalf of the Requesting Party pursuant to written agreements requiring protection of confidentiality and compliance with applicable law.

5. Duration of Consent

This Consent is effective as of the date signed by the Consumer and shall remain in effect for a period of 24 months thereafter, unless earlier revoked in writing in accordance with Section 7. Notwithstanding any revocation, disclosures made by consumer reporting agencies in reliance on this Consent prior to actual receipt of revocation shall be lawful.

6. Disclosure and Redistribution

The Consumer acknowledges that Consumer Reports may include information regarding credit accounts, payment history, public records, and other relevant data. The Requesting Party may furnish summaries or adverse action notices based on such reports, consistent with applicable law. To the maximum extent permitted by law, the Requesting Party shall not re-sell or otherwise transfer Consumer Reports to unrelated third parties without the Consumer's written consent.

7. Revocation

The Consumer may revoke this Consent at any time by providing written notice to the Requesting Party at the address for Notices specified in Section 10. Revocation will be effective upon the Requesting Party's receipt of the written notice, but shall not apply retroactively to disclosures made prior to receipt.

8. Representations and Warranties

The Consumer represents and warrants that all information provided in this Consent, including identifying information, is true, complete, and correct. The Requesting Party represents that it will use Consumer Reports only for Permissible Purposes and in compliance with all applicable federal and state consumer reporting and data privacy laws.

9. Indemnification

The Requesting Party agrees to indemnify and hold harmless the Consumer from any liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising from the Requesting Party's willful breach of this Consent or unlawful dissemination of Consumer Reports. The Consumer agrees to indemnify the Requesting Party for any claims resulting from the Consumer's material misrepresentations in connection with this Consent.

10. Confidentiality

Each party shall implement and maintain appropriate administrative, technical, and physical safeguards to protect the confidentiality, integrity, and availability of Consumer Reports obtained under this Consent. Access to such reports shall be limited to authorized personnel and shall be used solely for the Permissible Purposes specified herein.

11. Notices

Any notice required or permitted under this Consent shall be in writing and delivered by personal delivery, certified mail (return receipt requested), reputable overnight courier, or by email with confirmation of receipt, to the addresses set forth below or to such other address as a party provides by notice in accordance with this Section.

12. Amendments; Waiver

This Consent may be amended only by a written instrument executed by both parties. No waiver of any provision of this Consent shall be effective unless in writing and signed by the party against whom enforcement is sought; failure to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.

13. Severability

If any provision of this Consent is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and shall be interpreted so as to effectuate the original intent of the parties to the maximum extent permitted by law.

14. Governing Law

This Consent shall be governed by and construed in accordance with the laws of the state specified by the Requesting Party below, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the federal and state courts located in that state for resolution of any disputes arising under this Consent.

This Consent may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile, electronic image, or other electronic means shall be binding and treated as original signatures to the same extent as original handwritten signatures.
