RECITALS

WHEREAS, Preparer has been retained or otherwise authorized to compile a current, itemized list of known creditors and potential claimants that have asserted or may assert monetary claims, liens, or other encumbrances against Recipient as of the Effective Date; and

NOW, THEREFORE

In consideration of the mutual covenants contained in this document and other good and valuable consideration, the parties agree as follows:

1. DEFINITIONS

For purposes of this List: "Creditor" means any person, entity, or governmental unit asserting a monetary claim, lien, charge, or other obligation against Recipient. "Amount Owed" means the dollar amount claimed by the Creditor as of the Effective Date, whether liquidated or unliquidated. "Basis of Claim" means the contractual, statutory, tort, or other factual basis for the Creditor's asserted right to payment or security.

2. ITEMIZED CREDITOR LIST

The Preparer shall set forth below all known creditors as of the Effective Date. Each row shall contain information to the best of Preparer's knowledge, based upon the records and inquiries undertaken in the preparation of this List. An entry left blank indicates no known information after reasonable inquiry.

3. BASIS OF CLAIMS AND CONTACT INFORMATION

For each listed Creditor, Preparer shall provide the factual or legal basis of the claim and the most current contact information known. Where the claim is subject to dispute or contingent, that fact shall be clearly indicated in the Basis of Claim field below.

4. CERTIFICATION AND VERIFICATION

The Preparer certifies, on behalf of itself and any person(s) who assisted in preparing the List, that to the best of the Preparer's knowledge after reasonable inquiry the information contained herein is true, complete and correct as of the Effective Date. The Preparer acknowledges that intentional falsification of creditor information may result in civil liability and, where applicable, criminal penalties under law.

5. NOTICES

All notices permitted or required by this List shall be in writing and delivered to the addresses provided by the parties above or to such other address as a party designates by notice in accordance with this provision. Notices shall be effective upon receipt.

6. AMENDMENTS; WAIVER

This List may be amended only by a written instrument signed by both parties. No failure or delay by either party in exercising any right under this List shall operate as a waiver of that right, nor shall any single or partial exercise preclude other or further exercise.

7. COUNTERPARTS

This List may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be valid and binding for all purposes.

8. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This List shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles. This List constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous written or oral agreements. If any provision of this List is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

9. MISCELLANEOUS PROVISIONS

The parties agree to cooperate in good faith to correct or supplement this List if additional information becomes available. The Recipient may rely on the List for the purposes indicated in the Recitals, but Recipient acknowledges that Preparer's duties are limited to compiling and certifying information reasonably available to Preparer and expressly disclaims any duty to conduct exhaustive searches beyond the scope of the agreed engagement.
