LEGAL CSIO APPLICATION

This Legal CSIO Application (the "Application") is executed as of Date: by and between Company Name: with principal address: ("Company"), and Applicant Name: with residence address: ("Applicant").

RECITALS

WHEREAS, the Company administers and supervises information security incident response and seeks to designate a Qualified CSIO to perform defined roles within the Company's incident handling program; and

WHEREAS, Applicant represents that Applicant possesses the qualifications, certifications, experience and professional standing necessary to serve as a CSIO in accordance with the Company's policies and applicable law; and

WHEREAS, the parties desire to record Applicant's application, the Company's review conditions, and the terms under which Applicant may be authorized, appointed, or rejected for CSIO duties.

NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Application, the following terms shall have the meanings set forth below: "CSIO" means the Certified Security/Incident Officer role as contemplated by the Company; "Confidential Information" means all non-public information disclosed in connection with the Application or the performance of CSIO duties; and "Effective Date" means the date set forth above in the opening paragraph.

2. APPOINTMENT AND SCOPE

2.1 Submission of this Application is an express request that the Company consider Applicant for designation as CSIO. Submission does not itself constitute an appointment. The Company retains sole discretion to approve, conditionally approve, or deny Applicant's request following verification and evaluation.

2.2 If approved, Applicant's scope of authority will be as separately documented in the written appointment letter or CSIO charter issued by the Company. Applicant acknowledges that appointment may be subject to conditions, limitations, or revocation.

4.1 Applicant represents and warrants that all information provided in this Application is true, complete and correct to the best of Applicant's knowledge. Applicant acknowledges that any material misstatement, omission, or falsification may constitute grounds for denial or revocation of appointment and may give rise to civil remedies.

4.2 Applicant hereby authorizes the Company and its authorized agents to conduct background checks, reference checks, professional credential verifications, and any other investigations reasonably related to the evaluation of Applicant's qualifications. Applicant further authorizes disclosure of investigation results to the Company's review committee and external auditors as necessary.

Applicant provides express written consent for the Company to obtain background information as described above.

5. DUTIES AND STANDARDS

5.1 Applicant acknowledges the CSIO role requires adherence to applicable laws, Company policies, regulatory obligations, and professionally recognized incident response standards. Applicant agrees to perform assigned CSIO duties with reasonable skill, care, and diligence, and to act in the best interests of the Company and affected stakeholders.

5.2 Applicant agrees to promptly report any conflicts of interest, actual or potential impairments to performance, and any events that may materially affect Applicant's fitness to serve.

6. CONFIDENTIALITY AND DATA PROTECTION

Applicant will hold Confidential Information in strict confidence and will use such information only for purposes reasonably related to CSIO duties. Applicant will implement administrative, technical and physical safeguards consistent with industry standards to protect Confidential Information and will promptly notify the Company of any unauthorized access, loss or disclosure.

7. INDEMNIFICATION

Applicant agrees to indemnify, defend and hold harmless the Company, its officers, directors and employees from and against third-party claims arising from Applicant's gross negligence, willful misconduct, or material breach of the representations and obligations in this Application, except to the extent such claims result from the Company's gross negligence or willful misconduct.

8. TERM, REVIEW AND TERMINATION

The Company may, after review, grant appointment for a defined term or revoke approval at any time for cause. If approved, appointment terms will be set forth in a separate appointment instrument. Nothing in this Application obligates the Company to appoint Applicant or to provide compensation.

9. NOTICES

All notices, consents or other communications required or permitted under this Application shall be in writing and delivered to the addresses listed below (or to such other address as a party may designate by notice).

10. AMENDMENTS, WAIVER, SEVERABILITY

Any amendment to this Application must be in writing and signed by both parties. No failure or delay in exercising any right will constitute a waiver. If any provision of this Application is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

11. GOVERNING LAW; ENTIRE AGREEMENT; COUNTERPARTS

This Application shall be governed by the law specified by the Company in its appointment instrument; in the absence of such specification, the law of the state or jurisdiction where the Company's principal place of business is located shall govern. This Application constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior communications. This Application may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument.

By signing below, Applicant certifies under penalty of perjury that the information provided in this Application is true and correct and acknowledges that false statements may subject Applicant to civil or criminal liability.
