LEGAL CUSTODIAN TRANSFER FORM

This Legal Custodian Transfer Form (this Agreement) is entered into as of Effective Date: by and between Transferor Name: (hereinafter "Transferor") and Transferee Name: (hereinafter "Transferee"). The Transferor and Transferee are each a Party and collectively the Parties.

RECITALS

WHEREAS, Transferor is the lawful custodian of the custodial property and records described below and has authority to transfer physical custody and legal responsibility for such property to Transferee under the terms set forth in this Agreement;

WHEREAS, Transferee has represented that it has the facilities, staffing, and legal authority to accept and assume custody, safekeeping, and management responsibilities for the custodial property as set forth herein;

WHEREAS, the Parties desire to document the transfer, preservation of records, access protocols, and the respective warranties, indemnities, and obligations attendant to the transfer of custody.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement: "Custodial Property" means the tangible items, records, documents, electronic files, and other materials described in Section 2 and in the attached Inventory. "Records" means any document or data necessary to identify, locate, or administer the Custodial Property. "Effective Date" means the date set forth above.

2. TRANSFER OF CUSTODY

2.1 Transfer. On the Effective Date, Transferor shall deliver and transfer physical custody and responsibility for the Custodial Property described in the inventory below to Transferee. Delivery shall be evidenced by a jointly signed inventory and delivery receipt.

2.2 Inventory and Condition. Transferor shall prepare an itemized inventory that identifies each item, its condition, and any known defects. The inventory shall be attached to this Agreement. Transferee shall have the right to inspect the Custodial Property at the time of transfer and shall note any exceptions on the delivery receipt.

3. ACCEPTANCE; EFFECT OF TRANSFER

3.1 Acceptance. Transferee will provide written acceptance or written notice of exceptions within days following delivery. Absent timely written exceptions, Transferee shall be deemed to have accepted custody of the Custodial Property.

3.2 Assumption of Responsibility. Upon acceptance, Transferee shall assume full custody, safekeeping, control, and legal responsibility for the Custodial Property, including obligations to preserve, store, and protect the property consistent with applicable law and industry standards.

4. CUSTODIAL RECORDS, ACCESS, AND RETENTION

4.1 Records Transfer. Transferor shall deliver all Records related to the Custodial Property, including chain-of-custody logs, maintenance records, and provenance documentation, at the time of transfer. A checklist of Records transferred shall be attached to the inventory.

4.2 Access for Litigation or Regulatory Requests. If, after transfer, any governmental authority, court, or third party asserts a legal right to inspect or seize Custodial Property or Records, Transferee shall notify Transferor within seven (7) business days and, where lawful, cooperate in responding to the request. Costs for responding to such requests shall be borne by the Party whose acts or omissions precipitated the request, unless otherwise ordered by a court of competent jurisdiction.

5. REPRESENTATIONS AND WARRANTIES

5.1 Transferor represents and warrants that: (a) it is the lawful custodian of the Custodial Property and has the right to transfer custody in accordance with this Agreement; (b) there are no liens, encumbrances, or pending claims affecting the Custodial Property except as disclosed in writing below; and (c) to the best of Transferor's knowledge, the description of Custodial Property and Records is accurate and complete.

5.2 Transferee represents and warrants that it has the institutional capacity, facilities, and legal authority to accept custody and will comply with applicable law, court orders, and professional standards in maintaining the Custodial Property.

6. INDEMNIFICATION

Each Party (the Indemnifying Party) shall indemnify, defend, and hold harmless the other Party and its affiliates, officers, employees, and agents (the Indemnified Parties) from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the Indemnifying Party's breach of its representations, warranties, or obligations under this Agreement or arising from the Indemnifying Party's negligence, willful misconduct, or unlawful acts in connection with the Custodial Property.

7. INSURANCE AND LIABILITY

Transferee shall, at its expense, maintain adequate insurance covering loss, damage, or third-party liability with respect to the Custodial Property in amounts commercially reasonable for the nature and value of the property. Upon request, Transferee shall provide Transferor with certificates of insurance evidencing such coverage.

8. CONFIDENTIALITY

Each Party shall maintain the confidentiality of Records and any non-public information obtained in connection with the transfer consistent with applicable law and shall not disclose such materials except as required by law or with the prior written consent of the other Party.

9. NOTICES

All notices, demands, or other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested.

10. AMENDMENTS; WAIVER

This Agreement may be amended or supplemented only by a written instrument signed by both Parties. No waiver of any provision shall be effective unless in writing and signed by the Party granting the waiver. A waiver of any breach shall not constitute a waiver of any other or subsequent breach.

11. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be effective for all purposes.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State or jurisdiction identified below without regard to its conflict of law rules.

13. ENTIRE AGREEMENT

This Agreement, together with the attached inventory and all listed attachments, constitutes the entire agreement between the Parties and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the subject matter hereof.

14. SEVERABILITY

If any provision of this Agreement is held invalid, illegal, or unenforceable in any respect, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired.
