This indemnity shall not apply where Claimant reasonably and in good faith asserts its rights.

9. CONFIDENTIALITY

All non-public information exchanged in connection with this Assertion, including the Data and any supporting documentation, shall be treated as confidential by the parties, subject to any applicable legal obligations to disclose or preserve evidence. Disclosure for the purpose of legal or regulatory proceedings is permitted.

10. NOTICES

All notices, demands, or other communications required or permitted under this Form shall be delivered to the addresses set forth below by certified mail, overnight courier, or verified electronic transmission.

11. GOVERNING LAW; VENUE

12. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT; WAIVER
