LEGAL DE-BUGGING TEST AGREEMENT

This Legal De-Bugging Test Agreement (the Agreement) is entered into as of by and between Client Name: Entity Type: and Provider Name: Entity Type: (each, a Party and collectively, the Parties).

RECITALS

WHEREAS, Client desires to engage Provider to perform a Legal De-Bugging Test, consisting of a forensic review, validation, and error identification of designated legal documents, templates, or procedures ("Materials"); and

WHEREAS, Provider represents that it has the expertise, personnel, and facilities necessary to perform such review and to deliver a written report identifying formal defects, ambiguous language, conflicts with governing law, and recommended remedial edits (the Report); and

WHEREAS, the Parties wish to set forth the terms and conditions under which Provider will perform the Legal De-Bugging Test and deliver the Report.

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth herein, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement: (a) "Materials" means all documents, source files, metadata, instructions, and related information provided by Client to Provider for testing; (b) "Report" means Provider's written findings and recommended corrections delivered pursuant to Section 3; and (c) "Confidential Information" has the meaning set forth in Section 6.

2. SCOPE OF SERVICES

Provider shall perform the Legal De-Bugging Test on the Materials described as:

Provider's services shall include identification of syntactic and substantive defects, conflict analysis against the governing law selected in Section 12, redline recommendations, and a prioritized remediation list. Provider will not render formal legal advice on jurisdiction-specific practice without separate engagement.

3. DELIVERABLES AND ACCEPTANCE

Provider shall deliver the initial Report to Client within days following receipt of complete Materials. The Report shall set forth findings, risk ratings, and recommended remedial edits. Client shall have days to review and notify Provider in writing of any disputed items. If Client does not provide timely notice, the Report shall be deemed accepted.

4. ACCESS, COOPERATION AND MATERIALS

Client shall provide Provider with access to the Materials, designated contacts, and any information necessary for Provider to perform the services. Client warrants that it has authority to provide the Materials and that disclosure to Provider for testing does not violate any third-party rights.

5. FEES AND PAYMENT

Client shall pay Provider fees in accordance with the schedule below. Fees for the Legal De-Bugging Test are:

Late payments shall accrue interest at the lesser of 1.5% per month or the highest rate permitted by law. Client shall reimburse Provider for reasonable out-of-pocket expenses incurred in connection with performance.

6. CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by a Party to the other Party in connection with this Agreement. Provider shall maintain the confidentiality of Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Confidential Information shall not include information that (a) is or becomes public through no breach of this Agreement, (b) was lawfully in the receiving Party's possession prior to disclosure, or (c) is independently developed by the receiving Party without use of the disclosing Party's Confidential Information.

Provider may disclose aggregate, anonymized testing methodologies or metrics that do not identify Client or Client Materials. Provider will treat any findings that implicate legal privilege as Confidential Information and will, to the extent requested by Client, segregate privileged material from the Report.

7. INTELLECTUAL PROPERTY

Client retains all right, title, and interest in the Materials. Provider retains all right, title, and interest in Provider's pre-existing methodologies, tools, and templates. Subject to Client's payment in full, Provider grants Client a non-exclusive, non-transferable license to use the Report solely for Client's internal purposes.

8. REPRESENTATIONS AND WARRANTIES; DISCLAIMER

Each Party represents that it has the authority to enter into this Agreement. Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR THE FOREGOING EXPRESS WARRANTY, PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. LIMITATION OF LIABILITY AND INDEMNIFICATION

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE FEES PAID TO PROVIDER UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES.

Client shall indemnify, defend and hold harmless Provider and its officers, directors, employees and agents from and against any third-party claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from Client's breach of its representations or from Provider's use of the Materials provided by Client, except to the extent such claims result solely from Provider's gross negligence or willful misconduct.

10. TERM AND TERMINATION

This Agreement shall commence on the effective date and continue until completion of the services, unless earlier terminated as provided herein. Either Party may terminate this Agreement for convenience upon days' prior written notice. Upon termination, Client shall pay Provider for all work performed through the effective date of termination and for reasonable wind-down costs.

11. NOTICES

All notices under this Agreement shall be in writing and sent to the addresses below and shall be effective upon receipt.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. The Parties consent to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Agreement.

13. MISCELLANEOUS

Entire Agreement: This Agreement, together with any appendices or statements of work, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior agreements and understandings.

Amendments and Waiver: No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties. No failure or delay in exercising any right shall operate as a waiver.

Severability: If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified or severed to the minimum extent necessary to make it enforceable and the remaining provisions shall remain in full force and effect.

Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be binding.
