This Legal DEA Response Letter (the Letter) is made and entered into by the following parties for the purpose of preparing, certifying, and delivering a formal response to an inquiry or administrative request issued by the Drug Enforcement Administration or its authorized office. RECITALS

WHEREAS, the DEA Office/Division identified above has issued an administrative inquiry, subpoena, inspection notice, or other request (the Request) dated , directed to Client and/or Counsel; and

WHEREAS, Client requires the preparation, review, and delivery of written responses, production of documents, and certifications in connection with the Request, and Counsel will prepare and cause the delivery of such responsive materials on behalf of Client; and

WHEREAS, the parties desire to set forth their respective obligations, representations, certifications, and indemnities with respect to the preparation and submission of the Response (as defined below).

NOW THEREFORE

In consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Request" means the written or oral inquiry, subpoena, administrative demand, inspection notice, or other formal request from DEA identified in the Recitals. "Response" means the compilation of written narrative, documents, certifications, declarations, and any accompanying transmittal prepared and delivered to DEA in satisfaction of the Request.

2. SCOPE OF SERVICES

2.1 Counsel shall prepare the Response, including drafting correspondence, compiling responsive records from Client's files, preparing a privilege log for withheld documents, and providing any necessary certifications or declarations required by the Request. Counsel's role does not include independently conducting forensic collection absent separate written agreement.

2.2 Client shall make available to Counsel, within the time periods reasonably requested by Counsel, all records, personnel, and information reasonably necessary to draft a complete and accurate Response. Client acknowledges that Counsel's ability to meet any DEA deadline depends upon Client's timely cooperation.

3. REPRESENTATIONS AND CERTIFICATIONS

3.1 Client represents and warrants that to the best of Client's knowledge, all documents and information provided to Counsel for inclusion in the Response are true, accurate, and complete. Client shall immediately notify Counsel if Client becomes aware of material inaccuracies or omissions.

3.2 If a signed certification, declaration, or affidavit is required by the Request, Client shall sign such instrument certifying the accuracy of the Response. Client acknowledges that knowingly making materially false statements in such a certification may expose Client to civil or criminal penalties under applicable law.

4. PRODUCTION OF DOCUMENTS AND PRIVILEGE

4.1 Client shall produce documents in Client's possession, custody, or control that are responsive to the Request, except for documents that Client properly withholds on the basis of attorney-client privilege, attorney work product, or other applicable privilege. Documents withheld on a claim of privilege shall be identified on a privilege log prepared in reasonable detail by Counsel and delivered to DEA as part of the Response, unless otherwise agreed in writing.

4.2 Counsel will take reasonable steps to assert privilege and to redact records only to the extent necessary to preserve privileged material or to protect confidential personal information, and will identify redactions in the submission.

5. CONFIDENTIALITY AND DATA SECURITY

5.1 Counsel shall maintain the confidentiality of Client's non-public records and shall use commercially reasonable security measures when transmitting records to DEA, subject to any specific transmission requirements in the Request. Counsel shall inform Client immediately of any unauthorized disclosure or security incident affecting Client materials.

6. COOPERATION; TIMELINES

6.1 Client shall cooperate with Counsel and provide requested documents, deponents, and factual information within the time necessary to meet DEA deadlines. If Client's delay prevents Counsel from timely delivering the Response, Counsel shall notify DEA of the delay and may seek a reasonable extension; Client remains responsible for any consequences arising from its delay.

7. INDEMNIFICATION

7.1 Client shall indemnify, defend and hold harmless Counsel and its partners, associates, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from Client's failure to disclose material facts or documents, from Client's inaccurate representations, or from Client's intentional withholding of relevant information required for the Response.

7.2 Counsel shall give Client prompt written notice of any claim subject to indemnification hereunder and shall permit Client to assume the defense of such claim with counsel reasonably satisfactory to Counsel. Counsel may participate in the defense at its own expense.

8. FEES AND COSTS

8.1 Unless otherwise agreed in a separate engagement letter, Client shall be responsible for reasonable fees and costs incurred by Counsel in connection with preparing and delivering the Response, including but not limited to document collection, review, redaction, privilege log preparation, and reasonable counsel time.

9. NOTICES

Notices shall be deemed given when delivered in writing by hand-delivery, nationally recognized overnight courier, or when sent by registered or certified mail, return receipt requested, to the addresses provided above or to such other address as either party designates by notice in accordance with this section.

10. AMENDMENTS; WAIVER

10.1 This Letter may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party against whom the waiver is asserted.

11. GOVERNING LAW

This Letter shall be governed by and construed in accordance with the substantive laws of the state selected by the parties, without regard to its conflict of laws principles. The parties submit to the jurisdiction of the state and federal courts located in that state for any dispute arising from this Letter.

12. ENTIRE AGREEMENT

This Letter contains the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, between the parties.

13. SEVERABILITY

If any provision of this Letter is held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision hereof, and this Letter shall be construed as if such invalid or unenforceable provision had not been contained herein.

14. COUNTERPARTS

This Letter may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic transmission shall be effective as an original.
