LEGAL DEATH DESIGNATION FORM

RECITALS

WHEREAS, Principal desires to designate an individual to act with respect to disposition of Principal's remains, funeral arrangements, access to death records, and related post-mortem matters upon Principal's death; and

WHEREAS, Designee is willing to accept such designation and to act in accordance with the instructions and limitations set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement provide clear authority to Designee to carry out the Principal's post-mortem wishes and to act on behalf of the Principal's estate where necessary to effectuate those wishes.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. APPOINTMENT

Principal hereby appoints Designee as Principal's agent and representative, effective upon the death of Principal, with full authority to make decisions and take actions necessary to procure the disposition of Principal's remains, arrange funeral and memorial services, obtain certified copies of the death certificate, and to access and copy records reasonably necessary to carry out such actions.

2. SCOPE OF AUTHORITY

The authority granted to Designee includes, without limitation, the right to:

a) Contract with, employ, and direct funeral homes, mortuaries, crematoria, cemeteries, clergy, or celebrants; b) authorize cremation, burial, entombment, anatomical gift or other disposition consistent with Principal's expressed wishes herein; c) sign and deliver any documents, permits, authorizations, releases, claims, and certifications necessary to accomplish disposition and related arrangements; and d) receive, control, and direct payment of funds from Principal's estate for reasonable funeral, cremation, or burial expenses.

7. INDEMNIFICATION; STANDARD OF CARE

Designee shall perform duties in good faith and in a reasonably prudent manner. Designee shall not be liable to Principal, Principal's estate, or heirs for actions taken in good faith and within the authority granted by this Agreement. Principal's estate shall defend and indemnify Designee for any claims arising from actions taken in reliance upon this designation, except in the case of willful misconduct or gross negligence by Designee.

8. TERMINATION

This Agreement may be revoked by Principal at any time prior to death by a signed writing expressly revoking this designation. The appointment shall terminate upon Principal's revocation, Principal's death after performance by Designee, or upon written resignation by Designee accepted by Principal prior to death.

9. NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by written notice.

10. AMENDMENT; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both Principal and Designee. No waiver of any provision shall be effective unless in writing and signed by the party granting the waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.
