LEGAL DECLARATION AND ASSIGNMENT

This Legal Declaration and Assignment (the "Agreement") is made as of by and between Assignor: , an entity of type , with principal address ; and Assignee: , an entity of type , with principal address .

RECITALS

WHEREAS, Assignor is the owner of certain rights, title and interests described in Section 2 and the Schedule below (the "Assigned Rights"); and

WHEREAS, Assignor desires to make a formal declaration of factual matters relating to the Assigned Rights and to assign, transfer and convey all of Assignor's right, title and interest in and to the Assigned Rights to Assignee; and

WHEREAS, Assignee desires to accept such assignment and to obtain the Assigned Rights upon the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

In this Agreement, unless the context otherwise requires, the following terms have the following meanings:

"Assigned Rights" means all rights, title and interest of Assignor described in Section 2 and in the Description of Assigned Rights supplied below, including without limitation any copyrights, trademarks, contract rights, claims, causes of action and other intangible property identified herein.

2. DECLARATION OF FACTS

Assignor hereby declares and certifies that Assignor is the sole legal and beneficial owner of the Assigned Rights, that no other person or entity has any ownership interest therein, and that the Assigned Rights are free and clear of any liens, encumbrances, security interests, claims or adverse rights except as expressly disclosed in writing to Assignee.

Assignor further declares that the factual statements set forth in this Agreement are true, complete and correct to the best of Assignor's knowledge and belief as of the Effective Date.

Effective as of the Effective Date, Assignor hereby irrevocably assigns, transfers, conveys and delivers to Assignee all of Assignor's right, title and interest in and to the Assigned Rights, together with all rights to sue and recover for past, present and future infringement, breach or other violation of the Assigned Rights and all proceeds, damages and remedies related thereto.

The assignment granted herein is intended to be a present assignment and transfer of all assignable rights and is perpetual, worldwide and includes all associated goodwill.

5. CONSIDERATION

In consideration for the Declaration and Assignment set forth herein, Assignee shall pay to Assignor the sum of and other good and valuable consideration as mutually agreed by the parties.

6. REPRESENTATIONS AND WARRANTIES

Assignor represents and warrants to Assignee that: (a) Assignor has full power and authority to enter into this Agreement and to perform its obligations hereunder; (b) the Assigned Rights are owned by Assignor free and clear of liens, encumbrances and adverse claims except as disclosed in writing; (c) Assignor has not previously assigned, pledged or otherwise encumbered the Assigned Rights except as disclosed; and (d) to Assignor's knowledge no litigation or administrative proceeding is pending that would prevent the assignment of the Assigned Rights.

Assignee represents and warrants that it has authority to accept this Assignment and to perform its obligations under this Agreement.

7. FURTHER ASSURANCES

Each party shall execute and deliver such further documents and take such further actions as may be reasonably necessary to effectuate the purposes of this Agreement, including but not limited to executing instruments of transfer and providing evidence of title.

8. INDEMNIFICATION

Assignor shall indemnify, defend and hold harmless Assignee from and against any and all liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of any breach of Assignor's representations and warranties or any undisclosed lien, encumbrance or adverse claim to the Assigned Rights.

9. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the parties at their respective addresses set forth below or to such other address as either party may designate by notice to the other:

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles.

This Agreement may be amended only by a written instrument signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver thereof. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.
