All notices required or permitted under this Declaration shall be in writing and delivered to the addresses below by hand delivery, reputable overnight courier, or certified mail (return receipt requested).

8. Amendments; Waiver

This Declaration may be amended or modified only by a written instrument executed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party against whom the waiver is asserted.

9. Governing Law

This Declaration shall be governed by and construed in accordance with the laws of the jurisdiction identified in the Jurisdiction of Certification above, without regard to its conflict of law principles.

10. Entire Agreement

This Declaration constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral.

11. Severability

If any provision of this Declaration is held to be invalid, illegal or unenforceable in any respect, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
