6. NOTICES

6.1 All notices, requests, consents and other communications required or permitted under this Declaration shall be in writing and delivered to the addresses set forth below or to such other address as the recipient may designate by written notice.

7. AMENDMENT, WAIVER, COUNTERPARTS

7.1 Any amendment or modification of this Declaration shall be binding only if made in writing and signed by authorized representatives of both Parties.

7.2 No failure or delay by either Party to exercise any right or remedy under this Declaration shall operate as a waiver thereof, unless such waiver is in writing and signed by the waiving Party.

7.3 This Declaration may be executed in counterparts. Each counterpart constitutes an original and all counterparts together constitute one and the same instrument.

8. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

8.1 Governing Law. This Declaration shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflicts of law principles.

8.2 Severability. If any provision of this Declaration is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.

8.3 Entire Agreement. This Declaration constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings.

9. MISCELLANEOUS PROVISIONS
