9. GOVERNING LAW

This Declaration shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

10. ENTIRE AGREEMENT; SEVERABILITY

This Declaration constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior oral or written agreements. If any provision of this Declaration is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. AMENDMENTS; WAIVER; COUNTERPARTS

Any amendment to this Declaration must be in writing and signed by both Parties. No waiver of any provision shall be effective unless in writing and signed by the Party waiving compliance.
