a) Cease and desist from the conduct described in the record and implement corrective measures to remedy the violations; and

b) Submit to Issuing Authority, no later than , a written compliance plan that includes specific remedial steps, timelines, and assigned responsible officers.

3. ENFORCEMENT AND MONITORING

Issuing Authority shall monitor compliance with this Decree. Issuing Authority may require periodic reports, inspect facilities, and retain independent auditors or monitors at Recipient's expense where necessary to verify compliance.

Noncompliance constitutes a violation of this Decree and may subject Recipient to civil penalties, injunctive relief, contempt proceedings, or any other remedies available at law or equity.

4. STAY, APPEAL, AND EFFECT OF PENDING REVIEW

5. REMEDIES, COSTS AND SANCTIONS

Recipient shall be liable for reasonable costs incurred by Issuing Authority in monitoring and enforcing this Decree, including but not limited to administrative costs, auditor fees, and attorneys' fees where permitted by law. Issuing Authority retains discretion to assess fines or other sanctions for material breaches.

6. NOTICES

All notices required or permitted under this Decree shall be in writing and delivered to the parties at the addresses below by personal delivery, certified mail, or other method providing receipt. Notice is effective upon receipt.

7. AMENDMENTS AND WAIVER

This Decree may be amended only by a written instrument signed by Issuing Authority and Recipient. No failure or delay by Issuing Authority in exercising any right or remedy shall operate as a waiver of that right unless evidenced in writing and signed by Issuing Authority.

8. COUNTERPARTS

This Decree may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. A facsimile or electronic signature shall be treated as an original signature for all purposes.

9. GOVERNING LAW

This Decree shall be governed by and construed in accordance with the laws of the jurisdiction in which Issuing Authority is constituted, without regard to principles of conflict of laws that would require application of the laws of another jurisdiction.

10. SEVERABILITY

If any provision of this Decree is held invalid or unenforceable by a court of competent jurisdiction, the remainder of this Decree shall remain in full force and effect and shall be construed so as reasonably to effect the intent of the parties.

11. ENTIRE AGREEMENT

This Decree constitutes the entire agreement between the Issuing Authority and Recipient with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, representations and understandings, whether written or oral, relating to such subject matter.
