LEGAL DEPOSIT ADDENDUM

This Legal Deposit Addendum (the "Addendum") is made and entered into as of , by and between Landlord Name: (referred to herein as "Landlord") and Tenant Name: (referred to herein as "Tenant").

RECITALS

WHEREAS, the parties executed a lease or other occupancy agreement dated (the "Lease") concerning the premises located at (the "Premises");

WHEREAS, the Lease contemplates the payment and retention of a security deposit or other deposit (the "Deposit") to secure Tenant's obligations under the Lease; and

WHEREAS, the parties desire to supplement the Lease with the terms set forth in this Addendum governing receipt, holding, accounting, permitted deductions, disposition and return of the Deposit.

NOW, THEREFORE, in consideration of the mutual covenants herein contained and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree as follows:

1. DEPOSIT AMOUNT AND PURPOSE

Landlord acknowledges receipt of a deposit in the principal amount of $ (the "Deposit"). The Deposit is delivered as security for the faithful performance by Tenant of all obligations under the Lease, including but not limited to payment of rent, repair of damage to the Premises beyond ordinary wear and tear, and other monetary obligations arising under the Lease.

2. HOLDING, ESCROW AND ACCOUNTING

Landlord may apply the Deposit, in whole or in part, only to the following obligations: (a) unpaid rent or other sums due under the Lease; (b) repair or replacement of items damaged by Tenant beyond ordinary wear and tear; (c) cleaning necessary to return the Premises to the condition required by the Lease; and (d) lawful costs of collection and enforcement related to Tenant's breach. Any permitted deductions shall be reasonable in amount and supported by invoices, receipts or other documentation.

5. DISPERSION AND RETURN OF DEPOSIT

Following termination or expiration of the Lease and delivery of possession, Landlord shall provide Tenant with a written notice itemizing any deductions from the Deposit and shall return any remaining Deposit to Tenant within days after delivery of possession, subject to any lawful setoffs. The written notice shall state the basis and amount of each deduction and shall be accompanied by supporting documentation reasonably sufficient to substantiate the deduction.

6. DISPUTE, WITHHOLDING AND OFFSET

If Tenant disputes any deduction, Tenant shall provide written notice to Landlord within days after receipt of Landlord's itemization of deductions, specifying the basis for the dispute. Absent a timely dispute, Tenant shall be deemed to have accepted the itemization. Nothing in this Addendum limits either party's rights to pursue available remedies for breach of the Lease, including seeking damages, injunctive relief or other legal or equitable relief.

7. REMEDIES AND RIGHT TO CURE

The availability of the Deposit as security shall not limit Landlord's right to recover damages in excess of the Deposit. Tenant shall have the opportunity to cure any monetary default under the Lease as provided in the Lease prior to final application of the Deposit, except where immediate application is necessary to prevent material harm or loss.

8. NOTICES

All notices related to the Deposit shall be sent to the addresses designated by each party below. Notices shall be given in accordance with the notice provisions of the Lease.

9. GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the jurisdiction governing the Lease. The parties submit to the exclusive jurisdiction of the courts having proper venue in that jurisdiction for any dispute arising under this Addendum.

10. ENTIRE AGREEMENT

This Addendum, together with the Lease, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements, whether written or oral, relating to the Deposit, except as expressly provided in the Lease.

11. SEVERABILITY

If any provision of this Addendum is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed so as to effectuate the intent of the parties as nearly as possible.

12. AMENDMENT, WAIVER AND COUNTERPARTS

No amendment or waiver of any provision of this Addendum shall be effective unless in writing and signed by both parties. Waiver of any breach or default shall not constitute a waiver of any subsequent breach or default. This Addendum may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument.

13. MISCELLANEOUS

The obligations and rights under this Addendum shall inure to the benefit of and be binding upon the parties and their respective successors and permitted assigns. Neither party may assign its rights or obligations under this Addendum except as permitted under the Lease.
