5. RELIANCE AND LIMITATIONS

This Letter is issued solely for the benefit of Client and the Issuer and may be relied upon only by the named Client. Issuer’s determination is based exclusively on the facts and documents provided to Issuer as of the Request Date and on the legal authorities cited in Issuer’s analysis. Any change in material facts, subsequent events, additional documents, or changed law may alter the determination. Issuer does not assume duties to update this Letter for such changes unless otherwise agreed in writing.

Issuer’s determination is an expression of professional opinion and does not constitute a guarantee of outcome in any administrative, regulatory, or judicial proceeding. Issuer disclaims liability for reliance by third parties not expressly identified herein.

6. CONFIDENTIALITY

The content of this Letter is confidential and subject to any confidentiality agreement between the parties. Except as required by law or regulation, neither party shall disclose the determination or underlying privileged communications without the prior written consent of the other party.

7. NOTICES

8. GOVERNING LAW

9. ENTIRE AGREEMENT
